Forming a new limited liability company in Wyoming is a simple process that can be accomplished by following the instructions found on this webpage. Our comprehensive guides will take you through each step of the Secretary of State’s registration procedures, alleviating any confusion filers might experience when using either of the available application methods. A streamlined portal has been created in which registration documents can be submitted online. While the online portal is the most efficient filing method, we have also provided PDF applications for individuals who would like to file their documents through the mail. A $100 filing fee will be required with your registration, regardless of how you choose to file.
We here at Start a Business recommend that filers perform a Business Entity Search prior to registration to ensure the availability of the proposed operating name. Some may also wish to reserve a name if additional time is required to prepare for registration. For $50, a name can be reserved for a period of 120 days.

EIN – All LLCs that pay withheld taxes on their employees will be required to apply for an Employer Identification Number. The IRS uses this type of identification to keep track of all legitimate, tax-withholding entities operating in the United States. Without an EIN, your LLC will be unable to perform the majority of financial transactions needed to operate as a successful business entity. We have supplied a tutorial on both the Online and paper filing procedures linked in the heading of this paragraph.
Operating Agreement – It is highly recommended, though not legally required, that organizers of a newly formed limited liability company consider incorporating an operating agreement into their business structure. This document can effectively strengthen the organization of your company by relaying the relationship held between company officials and the LLC. In fact, this agreement may be the only official documentation of the expected roles and responsibilities of the managing members. The link at the heading of this paragraph contains our free template, available in MS Word and PDF formats.
Renewal – The Wyoming Secretary of State demands that all registered limited liability companies renew each year by submitting an annual report. Through this process, you will be able to provide an update of all major structural changes that have occurred over the course of the previous year. Failing to renew can put your business at risk by adding additional late fees to the following year’s report. The state has provided an online portal in which renewals can be submitted using your filing ID number (retrieve your filing ID number with a business search). A filing fee of $50 will be required to complete your report plus additional fees may apply based on the amount of the LLC’s total assets.
