This webpage has been designed to assist representatives of foreign corporations who are currently in the process of registering in Wyoming. Filers will need to download and complete an application before forwarding it to the proper authorities with an attached filing fee. The registration fee for profit corporations is $100 while non-profits need only pay $25.

It is highly recommended, though not legally required, that you perform a Business Entity Search prior to registration to check the availability of your desired operating name. Furthermore, a Name Reservation application can be used if additional time is required to prepare your filings. Reservations in this state cost $50 for profit corporations, $10 for non-profit, and will last for a period of 120 days.

How to File a Profit Corporation

Step 1- Begin by downloading the Application for Certificate of Authority.

Step 2- Continue by submitting the following information:

Step 3- After completing the application, a check or money order will need to be attached to cover the cost of filing. Have a check or money order made out to the Wyoming Secretary of State in the amount of $100. A certificate of good standing from the initial jurisdiction of formation must also be included with your filings. Have all articles mailed to the address below.

How to File a Non-Profit Corporation

Step 1- Filers must first download the Application for Certificate of Authority.

Step 2- Open the application with your PDF viewer and supply the following information:

Step 3- The completed application must be accompanied by a check or money order made out to the Wyoming Secretary of State. The filing fee for this type of registration is $25. You must also include a certificate of good standing, or like document, from the initial jurisdiction of formation. Gather all items and send them by mail to the address below.

Tips

Renewal – Registered corporations in Wyoming will be required to renew each year with the Secretary of State in order to remain in good standing. Through the filing of an annual report, business representatives will be able to notify the Secretary of State with any major changes that may have transpired over the previous year. Submitting your renewal can be accomplished online using your filing ID number. If you are unaware of your filing ID number, a quick business search can retrieve that information. A base fee of $50 will be required when filing, with the possibility of supplementary fees being charged based on the corporation’s total assets.
