Profit corporations will be required to provide a filing fee in the amount of $100 with their registration, while non-profit corporations need only pay $25.

We recommend that a Business Entity Search be performed prior to registration to check the availability of the proposed operating name. You may also find a Name Reservation useful if additional time is required to prepare your filings. This process will cost profit corporations $50, non-profits $25, and will last 120 days.

How to File a Profit Corporation (Online)

Step 1- Start by navigating to this website. From there, use the drop-down menu to select the type of business you would like to register. The small box towards the bottom of the page must be checked to verify that you understand that the information you will provide can be accessed by the public.

Step 2- On this page, enter the name of the business, confirm the name and specify the additional designator (if any).

Step 3- Here you can specify the duration of business and the delayed effective date. You will then need to select a class of shares and describe those shares (number of shares, value per share).

Step 4- Provide the name and address of an individual or entity that will act as the registered agent and check the small box towards the bottom of the page before proceeding.

Step 5- Enter the principal office address of the corporation as well as the mailing address.

Step 6- The name and address of each incorporator will need to be provided on the following page. Enter those details and click Add to submit that information. Repeat this step until each incorporator has been described.

How to File a Non-Profit Corporation (Online)

Step 1- The filing process begins by navigating to this website. Once accessed, you will be able to select your business type by choosing one of the options from the drop-down menu. Before proceeding, you will need to the check the small box highlighted in red. Checking this box verifies that you understand that the information submitted in your registration will be made available to the public.

Step 2- On this page, you will need to provide the name of the corporation into the first entry field, confirm the business name by re-entering it into the second entry field, and specify the designator.

Step 3- Continue by choosing a period of duration and delayed effective date (optional). You must then describe how the corporation’s assets will be distributed upon dissolution and supply the type of business to be conducted.

How to File a Profit Corporation (PDF)

Tips

EIN – Registered corporations will be required to apply for an Employer Identification Number in order to conduct business legally within the country. An EIN is issued by the IRS to identify each tax withholding entity operating in the United States. Once acquired, your business will be eligible to hire employees, register for bank accounts, apply for loans, and perform a number of other transactions. Corporate Bylaws – It is not legally mandatory for corporations to draft a set of bylaws in Wyoming, though many business representatives choose to organize their affairs with an agreement of this nature. This document will allow you to legally define the manner in which the entity and its members must operate, providing you with written proof that all relevant parties have agreed to its terms and conditions. Renewal – Corporations in Wyoming will be required to renew each year with the Secretary of State in order to remain in good standing. These annual reports will allow you to notify the state offices of any major structural changes that may have transpired over the course of the previous year. The entire process can be accomplished online using your filing ID number (retrieve your filing ID with a business search). Along with your report, a filing fee based on the corporation’s total assets will be required (payable by credit card).
