The tutorials found on this webpage have been created to guide individuals through the Wisconsin registration process for limited and limited liability partnerships. Unlike the majority of entity types in the state, there exists no manner in which a partnership can be filed online. The Department of Financial Institutions has instead provided PDF applications for each business type. These documents must be downloaded and completed before being submitted though the mail. A check will need to be attached to each application to cover the cost of filing (fees listed below). It is important to note that foreign registration will require filers to submit a certificate of good standing from their initial jurisdiction of formation.

Furthermore, filers may wish to file a Name Reservation to secure the rights to a business name. For $10, a name can be reserved for a period of 60 days.

How to File a Domestic LP

Step 1- Filers must first download the Certificate of Domestic Limited Partnership.

Step 2- The following information will need to be submitted:

Tips

EIN – Individuals who have completed the filing process for a domestic limited or limited liability partnership will be required to apply for an Employer Identification Number as soon as confirmation of registration has been received. An EIN is issued by the Internal Revenue Service to keep track of all legitimate, tax-withholding entities. Once acquired, you will be able to hire employees, apply for financing and ultimately conduct any variety of financial transactions in the name of the partnership. Partnership Agreement – If your business is currently operating without the use of a partnership agreement, it would be wise to review our free template. This written agreement, signed by all applicable partners, will state the manner in which the internal affairs of the business are to be organized. There is no legal obligation to file this document with the Department of Financial Institutions. Instead, a copy of the agreement should be read and signed by all relevant parties and kept for their personal filings. The free template we have provided can be found linked in the heading of this paragraph, available in MS Word and PDF formats.

Renewal – It is not uncommon for entities to be required to renew each year with the state authorities with the submission of an annual report. As it currently stands, there is no such requirement for limited partnerships in Wisconsin. However, limited liability partnerships are not exempt from filing their report and must renew each year with the Department of Financial Institutions. The state has provided no official documents for this procedure, though a list of the requisite information that must be submitted can be found in 178.0913 of the Wisconsin state legislature.
