This tutorial has been designed to assist representatives of foreign or domestic partnerships in their quest to register with the Washington Secretary of State. For those filing brand new, domestic entities, it will be necessary for you to file through the mail with the use of the PDFs found linked below. Foreign entities will required to utilize the online filing system for foreign registration as filing through the mail is not currently an option. The registration fee for domestic LPs and LLPs is $180 which can be paid in the form of a check made out to the Secretary of State. Those representing foreign entities will be required to pay $200 and will also need to upload a certificate of existence or like document to prove their legitimacy. Both domestic and foreign filing processes have been detailed below for your convenience.

It is always wise to double check that the name you plan on registering with is indeed available for use in Washington. Through the use of a Business Entity Search, you will be able to cross check the Secretary of State name database to ensure that your designation is unique. If you wish, you can reserve your entity name for the price of $30. Reservations run for 180 days in the state of Washington which should give you sufficient time to prepare for registration.

How to File a Domestic LP

Step 1- First, you will need to download the Certificate of Limited Partnership.

Step 2- Once open in your PDF viewer, you will be required to submit the following information:

  • Nature of the filing fee/delivery ($180 or $230 for expedited filing)
  • Name of LP
  • Whether LP or LLLP
  • Address of principle place of business
  • Effective date

Step 3- With all information submitted, you will be able to print off the completed form, supply the requisite signatures and prepare the filing fee. The fee ($180) should be paid in the form of a check made out to the Secretary of State. Send both items in the mail to the below address to be processed by the state authorities.

How to File a Domestic LLP

Step 1- To file a domestic limited liability partnership, you will first have to download the PDF of the filing form.

Step 2- Once open in your PDF viewer, provide the following information:

  • Nature of the filing fee/delivery ($180 or $230 for expedited filing)
  • Name of LLP
  • Address of principle place of business
  • Effective date of formation
  • Number of partners
  • Statement of the nature of the business to be performed by the LLP

Step 3- With the document printed and signed, you will be able to attach to it a check made out to the Secretary of State for the $180 filing fee. Send the two items in the mail to the below address when ready.

How to File a Foreign LP/LLP

Step 1- Start off by navigating to this webpage and clicking the Start New button to begin the foreign registration process.

Step 2- Choose the entity type from the list and, if it is an LP, indicate whether the entity will be a LLLP.

Step 3- You will need to perform a name availability check before advancing. Enter the name into the first field and click the Lookup button. A list should appear of all the names that are similar to the one that is entered. If no other business has a name which would seem indistinguishable from the one you’ve chosen for your entity, you will be able to click Continue to advance.

Step 4- This step will just show you your application ID. Be sure to have it saved if you plan on saving and returning to the process at a later date. Click Continue to move to the next step.

Step 5-  On this page you will need to enter the name and phone number of the contact person along with their email address. Below that, enter their physical address before continuing.

Step 6- Enter the purpose of the entity, the date and location of its formation, the duration of its term in Washington, and the date on which the partnership began doing business, or plans on doing business in Washington.

Step 7- You will be required to supply the address of the principle office and the mailing address if different. If required to maintain an office in the home jurisdiction, provide this address as well. Click Attach Certificate once all the information has been submitted to upload your certificate of good standing.

Step 8- This next page will have you choosing either a PDF or a JPEG image of the scanned certificate of existence from your computer.  Once chosen, click Upload File. Click Continue after this has been accomplished. You will be navigated back to the previous page and, if the document was uploaded successfully, you will be able to advance to the next step.

Step 9- Provide the agent type, name and the nature in which they will demonstrate their consent to act as the registered agent. Below this, you will be required to supply the address of the agent along with the phone number and email address. Click Continue when ready.

Step 10- Add the name and addresses of each partner or “governor” at this point. Once each name has been submitted, click Continue.

Step 11- Type your full name and title as submitter here.

Step 12- You will be able to review all the information entered thus far and, if it seems accurate and complete, click Continue.

Step 13- Your shopping cart should read $200 under the Cost heading. Click Continue if everything seems to be in order.

Step 14- Your payment information can be entered here to cover the filing fee. Also, provide the billing info and click Complete Order to submit the forms to the Secretary of State thus completing the online registration process.

Tips

EIN – If you are forming a new, domestic limited or limited liability partnership, you will be required to apply for an Employer Identification Number following your registration with the Washington Secretary of State. This number is used by the IRS to keep track of all legitimate, tax withholding businesses registered in the United States. Without an EIN, businesses are unable to perform financial transactions under the company name such as opening bank accounts or applying for financing. Partnership Agreement–  It is not legally mandatory that you draft a partnership agreement in Washington. That being said, it remains highly recommended. This document allows the initial general partners to relay in black and white the rules and regulations under which the managing members must operate. Furthermore, the logistical and financial affairs of the entity will not otherwise be stated anywhere else if this document isn’t drafted. Renewal– It is necessary that all LPs and LLPs renew each year by filing of an annual report. This document should be submitted to the Secretary of State on the date which the department has determined. As there is no online filing for a partnership’s annual report, it will necessary to generate a PDF to be printed off and sent in with an attached filing fee of $60. The information asked of you will be nearly identical to that which was submitted in the initial formation/registration documents.
