The tutorials found on this webpage contain all the information needed to get a domestic or foreign partnership registered in the state of Virginia. As there currently exists no online filing system for partnerships on the State Corporation Commission’s website, you will instead be required to submit your applications through the mail. You must download and complete the PDF application associated with your entity type and forward it to the Secretary of State office with an attached filing fee (see prices below). With your documents submitted and approval received, you will then be legally allowed to transact business in Virginia.

It is highly recommended that filers perform a Business Entity Search prior to registration to ensure that their proposed operating name is available for use in Virginia. Some may also wish to employ the use of a $10 Name Reservation application as this will guarantee the availability of a name for a period of 120 days.

How to File a General Partnership

Step 1- Start by downloading the Statement of Partnership Authority.

Step 2- Once open in your PDF viewer, the following information will need to be provided:

  • 1-Name of the partnership
  • 2-SCC ID number (if obtained)
  • 3-Jurisdiction of formation
  • 4-Check this box if the partnership was previously allowed to transact business in Virginia
  • 5-Address of the principal office
  • 6-Address of the office in Virginia (if any)
  • 7-Check the appropriate box and provide either the names and addresses of each partner or the name and address of the registered agent
  • 8-Name of the partner who is authorized to execute transfers of real property
  • 9-Optional provisions
  • Signature and printed name of at least two partners as well as the date signed

Step 3- A $25 filing fee will need to be attached to your application once it has been completed and signed by the appropriate individuals. Payment must be supplied in the form of a check made out to the State Corporation Commission. Send all items once consolidated to the address below.

How to File a Domestic LP

Step 1- The filing process begins by downloading the Certificate of Limited Partnership.

Step 2- Continue by supplying the following information:

  • 1-Name of the partnership
  • 2a-Registered agent
  • 2b-Registered agent’s status
  • 3-Address of the registered office
  • 4-Name and address of each general partner, and if a partner is a business entity, the initial jurisdiction and SCC ID (if assigned)
  • Name the entities acting as general partners that serve the partnership and do not otherwise transact business in Virginia (if any)
  • 5-Address of the principal office
  • Signature and printed name of each general partner as well as the date signed

  • Specify the type of partnership that is applying for status as a Virginia limited liability partnership
  • 1-Name of the partnership or limited partnership that is applying
  • 2-SCC ID number
  • 3-Address of the principal office
  • 4a-Registered agent
  • 4b-Registered agent’s status
  • 5-Address of the registered office
  • 6-Additional provisions (optional)
  • 7-Specify as to who is approving this registration
  • Signatures of at least two partners of a partnership or one or more authorized partners of a limited partnership

How to File a Foreign LP

Step 1- Filers must begin by downloading the Application for Certificate of Registration.

  • 2-Jurisdiction of formation and date of formation
  • 3-Check this box if the limited partnership was previously authorized to transact business in Virginia
  • 4a-Registered agent
  • 4b-Registered agent’s status
  • 5a-Address of the registered office in Virginia
  • 5b-City or county where the office is located
  • 6-Name and address of each general partner, and if a partner is a business entity, the initial jurisdiction and SCC ID (if assigned)
  • Name the entities acting as general partners that serve the partnership and do not otherwise transact business in Virginia (if any)
  • 8-Address of the principal office
  • General partner’s signature, business title and date signed

Tips

EIN – All newly formed partnerships will be required to obtain an Employer Identification Number once correspondence has been received from the State Corporation Commission regarding the approval of their registration. Once obtained, this number will enable business owners to register for loans, open checking and savings account, hire employees, and otherwise commit to a variety of financial transactions. Some may find the filing process for an EIN difficult, and for this reason we have created a tutorial to guide filers through both the  Online and paper applications methods (tutorial linked at the heading of this paragraph).

Partnership Agreement – It is highly advisable for newly formed partnerships to consider incorporating an agreement into their business structure to help delineate the nature of the relationship between the partners and the partnership. The State Corporation Commission does not require that such an agreement be drafted, though we encourage you to take a moment to go over our free template to see if implementing this document could be beneficial to your organization. Renewal – Many Secretaries of State in the country require partnerships to file an annual report with their offices to notify them of any changes that may have occurred over the course of a year. While this renewal is required for all corporations in Virginia, limited liability companies and partnerships are exempt filing this report. There is however an annual registration fee that limited partnerships must provide on or before October 1 of each year following the year of initial formation. To pay, a $50 check made out to the State Corporation Commission will need to be sent to the address below.
