This webpage has been designed to provide all the information needed to register a foreign limited liability company with the State Corporation Commission in Virginia. As the online filing process is currently unavailable to foreign entities, all requisite documents must be filed by mail. Filers will need to download and complete the Application for Certificate of Registration and forward it to the state with a $100 filing fee attached. Be sure to include with your application a certificate of good standing or a document of equal qualification issued in your jurisdiction of initial formation.

It is absolutely necessary that each entity registers under a unique business name that is distinguishable from any other on file in the state. For this reason, we recommend that filers perform a Business Entity Search prior to registration to make sure that their proposed operating name is available for use. You may also find a $10 name reservation useful as it will grant you 120 days in which to register.

How to File

Step 1- Registering a foreign LLC begins by downloading the Application for Certificate of Registration.

Step 2- The information required on this document is as follows:

  • Name of the LLC
  • Designated name (if required)
  • State or other jurisdiction of organization
  • Date of formation
  • Period of duration
  • Specify as to whether or not the LLC was previously authorized to transact business in Virginia
  • Address of the principal office
  • Name of the registered agent
  • Registered agent’s status
  • Address of the registered office
  • Signature, printed name, date, and business title


Step 3- The completed application must be attached to a certificate of good standing from the initial state/country of formation. A filing fee in the amount of $100 will also be required. All fees are payable by check made out to the State Corporation Commission. Renewal – It is quite common in most states for limited liability companies to file an annual report. This renewal will notify the state offices of any major changes that may have transpired over the past year and, in turn, allow businesses to remain in good standing. Fortunately, there is no such requirement in Virginia. There is, however, a registration fee that must be paid on or before the last day of the 12th month after the LLC was formed. This $50 fee is payable online using your SCC ID (find your SCC ID with a business search). Some may wish to take this time to update their primary business location or change their registered agent, both of which have been made possible through the same portal.
