We recommend that filers perform a Business Entity Search prior to registration to ensure that their proposed business name is available for use in Virginia. Some may also find a $10 Name Reservation application useful as this will guarantee the availability of your chosen name for 120 days.

How to File a LLC (Online)

Step 1- Begin by logging into your SCC online account. A tutorial on account creation has been provided for individuals who have yet to register for one.

Step 2- Enter the proposed entity name into the available field. You may Check Name to ensure that the name is distinguishable from any other entity registered in the state.

Step 3- The registered agent’s details will need to be supplied on the following page. Begin by specifying as to whether the registered agent is an individual or an entity. If the registered agent is an individual, specify their status and enter their name and address into the appropriate fields. Entities acting as registered agents may be supplied by first entering the business name into the search bar, clicking Search, and selecting an organization from the list of results.

Step 4- Provide the address of the entity’s principal office.

Step 5- Check the small box in the Signature section to verify that the electronic signatures you are about to provide have been submitted accurately. Continue by selecting one of the available options to specify as to whose signature you will be providing and enter that individual’s signature into the available field.

Step 6- Confirm that all the information supplied thus far has been entered correctly before clicking Continue to proceed.

Step 7- A desription of the $100 filing fee will be displayed on the following page. Click Next to continue.

Step 8- Agree to the official payment terms and conditions by clicking Accept.

Step 9- On this final page you will need to provide your name, address, phone number, email, and credit card details. Click Continue to commit to payment and finalize the registration process.

How to File a LLC (PDF)

Step 1- To form a limited liability company, you must first download the Articles of Organization.

Step 2- The information required on this document is as follows:

  • 1-Name of the LLC
  • 2a-Name of the registered agent
  • 2b-Registered agent’s status
  • 3a-Address of the registered office
  • 3b-County or city of the registered office
  • 4-Address of the primary office
  • Signature and printed name of an organizer as well as the date signed

Step 3- Send the completed application to the address below. Be sure to include a check made out to the State Corporation Commission in the amount of $100.

How to File a Professional LLC (PDF)

Step 1- Filing for a professional limited liability company begins by downloading the Articles of Organization.

Step 2- Open the application with your PDF viewer and supply the following information:

  • 1-Name of the professional LLC
  • 2-Services to be rendered
  • 3a-Name of the registered agent
  • 3b-Registered agent’s status
  • 4-Address of the registered office
  • 5-Primary office address
  • Signature and printed name of at least one organizer and the date signed

Step 3- Once the form has been completed and signed by the organizers, a check made out to the State Corporation Commission must be attached in the amount of $100. Send the application and filing fee to the address below.

Tips

EIN – After successfully filing your formation documents, and notice of acceptance has been received from the State Corporation Commission, you will be required to apply for an Employer Identification Number. An EIN is a unique method of identification used by the IRS for tax reporting purposes, similar in nature to a social security number. Once obtained, your LLC will be eligible to perform a number of business transactions that are crucial to the operation of any successful organization in the country. Tasks as rudimentary as hiring employees can be legally accomplished only after an EIN has be acquired. Operating Agreement – When forming a new limited liability company, it is recommended that an operating agreement be drafted to outline the many provisions that were left undocumented during the initial registration. This document may be used to legally define the rules and regulations of your entity, preventing possible disputes between members as all relevant parties will have read and agreed to the agreement’s terms and conditions. Renewal – It is required in most states that limited liability companies file an annual report to update the state of any changes that may have occurred over the past year. Fortunately, this is not the case for LLCs in Virginia. Instead, an annual registration fee will need to be provided on or before the last day of the 12th month after the LLC was formed. Registration fees are payable online using your SCC ID (find your SCC ID with a business search) and will cost a total of $50. This online portal will also provide you the ability to update the state of a change in the primary business location, or a change of registered agent.
