Welcome to the Start a Business guide to foreign and domestic partnership registration in Utah. Each tutorial we have provided has been created to prepare our readers for the business filing process put in place by the Division of Corporations and Commercial Code’s. Through a pre-existing account, filers can submit all the necessary registration documents using the online portal. Furthermore, downloadable PDF files have been made available for anyone who wishes to send their filings by mail. It is necessary that a filing fee be submitted along with your formation documents, regardless of the chosen filing method. The list below displays each partnership type and the corresponding fee.

It is recommended that filers perform a Business Entity Search prior to formation to ensure that the operating name they plan on using is available for use. Some may also find a $22 Name Reservation useful as it grants 120 days in which a names availability is be secured.

How to File a Domestic Partnership (Online)

The following tutorial is directed towards the filing process of a limited partnership. Other entity types can be filed in the same manner, though additional steps may be required.

Step 4- A series of steps must be completed in order for your registration to be successfully filed. Start with the Preregistration Questions.

You will then need to specify the starting date of business as well as the date of dissolution. Lastly, provide a response to a series of questions by answering either Yes or No.

The state will also need to know whether or not your business will be based in a home or commercial location and what is the expected date on which your partnership will make its first sale or purchase. How to File a Foreign Partnership (Online)

It is important to note that this tutorial is directed towards the filing of a limited partnership and that additional steps may be required depending on the type of entity you are filing for.

EIN – An Employer Identification Number should be obtained as soon as acceptance of your entity’s formation has been received. In fact, all online formation applications will require filers to obtain an EIN before registration. This unique method of identification is used by the Internal Revenue Service for tax reporting purposes. With an EIN, your entity will be eligible to hire employees, register for bank accounts, apply for loans, and perform a number of other transactions that are crucial to the operation of any business in the country. Partnership Agreement – There is no legal requirement to draft a partnership agreement in Utah, however doing so is well advised as it can delineate the roles of all general and limited partners. This document will also provide you with the means to standardize any rules, regulations or provisions not already defined in the initial registration documents submitted to the Division of Corporations and Commercial Code. A free template agreement, downloadable in both MS Word and PDF formatting , can be found linked in the heading of this paragraph. We recommend seeking assistance from an attorney before implementing this document into your business structure.

Renewal –  It is necessary that all partnerships file an annual report with the Division of Corporations and Commercial Code to update their registration and remain in good standing. Filing is simple and can be accomplished online using your entity ID number. If you are unaware of your entity ID number, a business search will provide you with those details. A report may also be filed through the mail by downloading and completing the Annual Report/Renewal form and forwarding it to the address below. A filing fee of either $15 (LP/LLLP) or $22 (GP, LLP) will need to be submitted along with your annual report.
