On this webpage we will go over the process of registering a foreign limited liability company with the Utah Division of Corporations and Commercial Code. Filers will find that there are PDF applications available for download which can be submitted by mail or fax. The state has also designed an online system that will allow you to file all of your formation documents with ease from your computer (the only requirement is that an account be created first). Along with the submission of your application, a filing fee must be included in the amount of $70.

Before filing, it is highly advisable to cross check the Division of Corporations and Commercial Code’s name database to ensure that your business name hasn’t already been registered by another entity in Utah. You may also reserve a name for 120 days by filing a $22 Name Reservation application.

How to File a LLC  (Online)

Step 1- Start by logging into your online account. A tutorial on account creation can be found here if you have yet to register for one.


Step 2- Click the blue tabs on each of the following three pages to proceed.




Step 3- On the next page you will be required to respond to a series of questions. Answer Yes or No to provide a response.






Step 4- A list of steps must now be completed in order for your registration to be successfully filed. Start with the Preregistration Questions.


Step 5- Respond to these questions by answers Yes or No.


Step 6- Continue to the next step where your will need to Declare the Business Entity.


Step 7- Specify the type of entity you would like to file for by selecting one of the options from the drop-down menu.


Step 8- With an entity type selected, you will then need to choose an entity subtype. Continue by providing some management details as well as the state/country of the initial jurisdiction and date of formation.


Step 9- A business name will need to be requested and reserved. This process begins with the next step titled Name the Business.


Step 10- Supply a business name into the entry field and select an appropriate suffix to be included to the end of the name (ex. L.L.C.).


Step 11- Once a name has been chosen you will be able to request and reserve it by selecting Request Business Name.


Step 12- A $22 filing fee must be provided in order for your business name to be reserved. Click Continue to proceed.


Step 13- Enter a valid credit card number as well as your account holder information to pay for the name reservation.


Step 14- Proceed through the following three pages while verifying that the information you’ve supplied has been entered correctly.




Step 15- You will now need to Describe the Business and its Activities. 


Step 16- Begin this next step by entering the following information to describe your business headquarters: name, address, phone number, fax, website.


Step 17- Use the drop-down menus to select the business codes that most closely match the nature/purpose of your company. Provide a more detailed description of the business nature/purpose in the field provided. You will then need to specify the intended starting and ending date of business. Lastly, respond to a series of questions by answering Yes or No.



Step 18- The next step in the filing process will require you to Provide Business Address and Locations for your LLC.


Step 19- Select the box in the green field if your primary business address  is the same as your business headquarters described in Step 16.


UT-LLC-6Step 20- Use the drop-down menus to specify the expected hours of operation. The state will then need to know whether your LLC is based from a home or commercial location as well as the date your business will make its first sale or purchase. Continue by responding to the list of questions by answering Yes or No.



Step 21- Conclude this step by providing a mailing address where the Division of Corporations and Commercial Code can send notices.




Step 22- The next required step in the filing process will ask you to Define the Ownership and Management.


Step 23- A registered agent and manager must now be defined. Select the designator indicating whose details you will be providing then enter those details into the available entry fields. You will then need to specify the intended duration of business. Enter perpetual if the duration is to perpetually exist.



Step 24- Continue to the next step titled Existing Account Information for this Business.


Step 25- Supply your federal employer identification number into the available entry field.


Step 26- You will now need to provide the Electronic Signatures of the attorney in-fact or of the manager.


Step 27- Specify as to whose signature you will be providing and enter that persons signature into the appropriate field.

Step 28- Move on to the last step in the filing process titled Create Articles.


Step 29- Some general business questions must now be answered. Specify the duration of business, the stock and share information, and provide any additional articles (optional).


Step 30- With all of the steps in the filing procedure completed you can now Confirm and Complete Your Registration.


Step 31- Click Continue on the following two pages to proceed.



Step 32- Enter your credit card details and account holder information to pay for the $48 filing fee. Click Continue to commit to payment and finalize the registration process.


How to File a LLC (PDF)

Step 1- Begin by downloading the Foreign Registration Statement (Foreign Limited Liability Company).

Step 2- The following information must be provided:

  • 1-Name of the LLC
  • 2-Jurisdiction of formation
  • 3-Principal office address
  • 4-Name and address of the registered agent
  • 5-Name of the LLC
  • 6-Intended business purpose
  • 7-Name and address of the members/managers
  • Authorized signature and date signed


Step 3- Once the application has been completed and signed by the appropriate individuals, a $70 filing fee will need to be attached. Applications filed by mail must include a check or money order made out to the State of Utah. Payment by fax can be made with a cover sheet containing a credit card number and expiration date. Be sure to provide a certificate of good standing from the initial state/country of jurisdiction. Send all items to the address below.

Renewal – LLCs will be required to file a report annually with the Division of Corporations and Commercial Code to update their business registration and remain in good standing. This filing can be completed online by using your entity ID number. If you are unaware of your entity ID number, a business search will provide you with that information. You may also file through the mail by completing the Annual Report/Renewal form and forwarding it to the address below.  Regardless of how you choose to file, a fee will be required in the amount of $15. All reports are due the anniversary date of the entity’s formation.
