This webpage has been created to provide insight into Utah’s LLC registration process. Our tutorials have been designed to assist those who are unfamiliar with the Division of Corporations and Commercial Code. This state has designed an online portal in which you can create an account to manage all of your filings and stay updated on the status of your business. Downloadable PDF applications are also available for individuals who wish to file their formation documents by mail. A $70 filing fee will be required regardless of the chosen method of application.

It is necessary that each entity in the state operates under a unique business name that is distinguishable from that of any other registered entity. For this reason we recommend that a Business Entity Search be performed prior to registration to the check the availability of your desired name. Furthermore, a Name Reservation can be filed which will last 120 days and cost a total of $22.

How to File (Online)

It is important to note that this particular tutorial is directed towards the filing of a standard LLC and additional steps may be required depending on the type of LLC you are filing for.

Step 1- Begin by accessing your online account. If you have yet to create an account with the Department of Corporations and Commercial Code, a tutorial on that procedure can be found here.

Step 3- A number of questions must be answered by selecting either Yes or No. You may optionally add a third party designee who will receive the entity’s registration information and answer questions about the completion of this application.

Step 4- A series of steps will need to be completed in order for acceptance to be received from the state. Begin with the Preregistration Questions.

Step 5- Respond to the questions presented on the following page by answering Yes or No.

Step 6- With the previous questions answered, continue on to the next step titled Declare the Business Entity.

Step 7- Specify the entity type being formed by choosing one of the available options from the drop-down menu.

Step 8- An entity subtype must be chosen from the three available options in the menu. You must then select between member or manager to let the state know who exactly will be running your LLC. Lastly, the IRS requests that you specify as to whether an individual, corporation, or partnership is filing for formation.

Step 9- Continue on to the next step where you will be required to Name the Business.

Step 10- Enter a business name into the entry field and select a suffix to be included as well (ex. L.L.C).

Step 11- The name must now be requested and reserved. Select the tab titled Request Business Name to begin this process.

Step 12- Reserving a name will require a filing fee of $22. Click Continue to proceed.

Step 13- Supply your credit card information into the entry available entry fields on the following page.

Step 14- Continue the following three pages to continue, verifying that the information was supplied correctly along the way.

Step 15- You will now need to Describe the Business and its Activities.

Step 16- Provide an address, phone number, fax number, and website for your business headquarters.

Step 17- Use the drop-down menus to select the business codes that most closely matches your LLC’s intended business purpose. You will then need to describe the business purpose manually in the text box. Below the text box, you will see drop-down menus where you will need to specify the starting and closing date of business. Lastly, a few questions must be answered by selecting Yes or No.

Step 18- You will now need to Provide Business Addresses and Locations for your limited liability company.

Step 19- Check the box located in the green field if the primary physical address is the same as your business headquarters. There are a few location-specific business codes that must be chosen to represent the nature/purpose of your business.

Continue by specifying as to whether your business will be based in a home or commercial location. Finish this step by responding to a series of questions by answering either Yes or No.

Step 21- A mailing address to receive notices from the state will need to be provided. Click Add a Mailing Address to begin providing these details.

Step 22- Once the mailing address has been successfully provided, the next required step is to Define the Ownership and Management.

Step 23- The name and address of a registered agent and manager will need to be provided on the following page. The duration of business will also need to be defined it the duration is not be perpetual.

Step 24- Continue to the next step where you will need to provide your Existing Account Information for this Business.

Step 32- The $48 filing fee must be provided with a valid credit card. Enter your credit card number, CVV number, and expiration date as well as your account holder information before clicking Continue to commit to payment and finalize the registration process.

How to File a Standard LLC (PDF)

Step 1- Begin by downloading the Certificate of Organization (Limited Liability Company).

Step 2- The information required on this form is as follows:

  • 1-Name of the LLC

 How to File a Professional Service LLC (PDF)

Step 1- Start by downloading the PDF application provided by the state.

Step 2- With the application downloaded, continue by supplying the following information:

  • 1-Name of the LLC

  • 4-Name and address of the registered agent
  • 5-Signature of organizer

How to file a Series LLC (PDF)

How to File a Low-Profit LLC (PDF)

Step 1- Filing for a low-profit LLC begins by downloading the PDF application that the state has provided.

Step 2- Continue by supplying the following information:

  • 1-Name of the LLC
  • 2-Principal office address
  • 4-Name and address of the registered agent
  • 5-Name and signature of the organizer
  • 6-Name and address of the members and/or managers (optional)
  • 7-Intended duration of business (optional)

Tips

EIN – Filing for an Employer Identification Number should be done as soon as correspondence has been received from the Division of Corporations and Commercial Code regarding your entity’s formation. This unique method of identification is issued to legitimate tax-withholding entities by the Internal Revenue Service.  Once obtained, you will be able to register for bank accounts, apply for loans, hire employees, and perform a number of other business transactions. Operating Agreement – Drafting an operating agreement to outline to rules and regulations of your business is a highly advisable step to take when forming a new limited liability company. While the state has no legal requirement that this document be drafted, many LLCs choose to organize their business affairs with the use of an agreement. Renewal – A report will need to be filed with the Division of Corporations and Commercial Code on the anniversary date of your LLC’s formation to remain in good standing and to update the state of any changes to your entity. Filing is simple and can be accomplished online using your entity ID number. If you are unaware of your entity ID number, a business search will be able to solve that problem. You may also file your report though the mail by completing the Annual Report/Renewal form and mailing it to the address below. A $15 filing fee will need to be included regardless of the chosen filing method.
