How to File

Step 1- It is recommended that a Business Entity Search be performed as the first step prior to registration to ensure that the name chosen for your LLC is available for use in Utah. Reserving a name is also possible if you would like additional time to prepare your filings. For a fee of $22, a name can be reserved for a period of 120 days.

Step 2- With your name secured, the actual filing process can begin by either downloading and completing a PDF application or supplying the requisite information through the online portal. More information regarding the exact steps for each filing method can be found by clicking on the link below corresponding to your business type.

Step 3- Once you’ve finished filling out the necessary forms or have supplied your business information online, the next step is to attach any certification demanded by the state government. A certificate of good standing or a document of equal qualification must be provided with all foreign applications. The submission of a filing fee, payable by credit card, will conclude the registration process for online applicants. Those filing by mail can provide payment with a check or money order made out to the State of Utah. Lastly, a cover sheet containing a credit card number and expiration date will need to be included with faxed applications. Send your filings to the appropriate address below if not filing online.

EIN – After your domestic LLC has been registered with the state, you will need to apply for an Employer Identification Number. This number is issued by the Internal Revenue Service to identify employers, be it an individual or entity, that pay withholding taxes on their employees. Once an EIN has been obtained, your company will be able to hire employees, apply for loans, register for bank accounts, and perform a number of other transactions that are important to the operation of any business entity. Operating Agreement – There is no legal obligation to draft an operating agreement in Utah, though we highly recommend implementing one into your business structure. This document will allow you to fine-tune the various logistical and financial provisions not previously stated in the initial registration documents. Renewal – It is necessary for LLCs to file an annual report with the Division of Corporation’s and Commercial Code to remain in good standing and to notify the state of any changes that may have occurred in the past year. Failing to renew can limit your company’s operations and change your business status to delinquent. Filing this report is simple and can be accomplished online using your entity ID number (obtain your entity ID number here) or by completing the Annual Report/Renewal form and forwarding it to the address below. A $15 fee must be included with your report regardless of the chosen filing method.
