Incorporating a business in Utah is a simple procedure that can be accomplished with the help from our tutorials. The Division of Corporations and Commercial Code has designed an online system in which you can create an account to manage your filings. Not only will our guides cover online registration, but PDF applications are also available should you choose to file by mail or fax. Registering an entity by either of the aforementioned methods of application will require the submission of a filing fee (profit corporation- $70, non-profit corporations- $30). Each entity in the state must operate under a unique business name. For this reason we recommend that a Business Entity Search be performed prior to formation to check the availability of your desired name. Furthermore, you may wish to file a $22 Name Reservation, allowing you to reserve a name for 120 days.

How to File a Corporation (Online)

It is important to note that this tutorial is directed towards the filing of a standard profit corporation and that additional steps may be required depending on the type of entity you are filing for.

Step 1- Begin by navigating to this website where you’ll be able to successfully login to your online account. If an account has yet to be created, review our tutorial on that process here.

Step 2- Select the link titled Register a new business to commence the filing process for your corporation.

Step 3- A page dedicated to frequently asked questions may be reviewed before proceeding. Click Begin Registration to continue.

Step 5- Select Yes or No to provide a response to the questions presented on the following page. A third party designee may optionally be added at the bottom.

Step 6- A series of steps must now be completed. Once they have been successfully finished, the status of that step will be seen as Complete. Begin the steps by clicking the link titled Preregistration Questions.

Step 8- With the preregistration questions completed, continue to the next step titled Declare the Business Entity.

Step 9- Select the type of corporation you would like to form by choosing one of the options from the drop-down menu.

Step 11- An operating name for your corporation must now be provided. Begin this process by clicking link titled Name the Business.

Step 23- If the primary business address is the same as your business headquarters, check the appropriate box in the green field.

Step 24- Choose a Start and End time to note the expected hours of operation and specify as to whether or not your business will be based in a home or commercial location. You will then need to respond to a series of questions by answering Yes or No.

Step 25- A mailing address must be provided in which statements from the Secretary of State can be sent. Click Add a Mailing Address to begin supplying the those details.

Step 28- With a business addresses and locations provided, you can now Define the Ownership and Management.

Begin by clicking Add Principal, and then select the designator of an individual whose details you wish to supply. Enter their information into the provided entry fields and repeat this process until all the required management positions have been described.

How to File a Profit Corporation (PDF)

How to File a Non-Profit Corporation (PDF)

Step 1- Forming a non-profit corporation through the mail begins by downloading the Articles of Incorporation (Nonprofit).

Step 2- The information required on this document is as follows:

  • 1-Name of the corporation
  • 2-Intended business purpose
  • 3-Registered agent details
  • 4-Name, signature, and address of the incorporator
  • 5-Specify whether or not the corporation will have voting members
  • 6-Share information (aggregate number of shares, whether or not they will be divided in to classes, etc.)

Tips

EIN – An Employer Identification Number should be obtained as soon as correspondence has been received from the Secretary of State regarding your entity’s formation. An EIN is a unique method of identification which is issued by the IRS in similar fashion to a Social Security Number. Once obtained, this number will allow you to register for bank accounts, hire employees, apply for loans, and perform a number of other business transactions. Take the time to review our tutorial linked at the heading of this paragraph to learn more about how you can obtain an EIN through the Online and PDF application processes.

Corporate Bylaws – When forming a new corporation, it is highly advisable to draft a set of bylaws through which the internal affairs of a company can be managed. While there is no legal obligation to draft this document in the state of Utah, many corporations choose to organize their business with the use of an agreement. It is recommended that an attorney review the agreement before any measures are taken to implement this into your business structure. We have provided a free template, downloadable in MS Word and PDF formats, which can be found linked in the heading of this paragraph.

Renewal – Corporations are required to file an annual report with the Division of Corporations and Commercial Code to renew their registration and remain in good standing. Filing a report is simple and can be accomplished online using your entity ID number. If you are unaware of your entity ID number, a business entity search can retrieve that information. Renewing by mail is also possible with the Annual Report/Renewal form, which must be mailed to the address below. A $15 filing fee must be included when renewing a profit corporation while non-profit corporations need only pay $10.
