This webpage has detailed the entire online filing process and has gone through both PDF applications of professional and standard LLCs. If you choose to apply for registration through the Secretary of State website, it will be necessary for you to sign up for a SOSDirect account first (tutorial for account creation found here). When filing a foreign LLC, online or otherwise, you must pay the fee of $750 in order for the application to be accepted by the state offices.

Business Entity Search is often a good precautionary inquiry to make prior to registration to ensure that the name of your company is indeed available in Texas. You may also choose to file for the reservation of your LLC name. This reservation will cost $40 and will endure for a total of 120 days.

How to File (Online)

Step 1- As previously mentioned, it will be necessary for you to first create an account (for more info, review this tutorial) and log into it to access the business filing page. You will be required to navigate to this webpage, enter your login credentials and click Submit.

Step 2- Your payment method and contact information should be entered on this page.

Step 3- Your payment information will need to be submitted next. They will ask that you include the following:

  • Card type
  • Card number
  • Expiration date
  • Security code
  • Business name or individual name
  • Full address
  • Phone number

Step 4- This page will let you know that you are now logged in and will provide you with your session code. Click the Businesss Organizations heading to continue.

Step 5- Using the drop down menu on this main page, select the Foreign Limited Liability Company option and click File Document.

Step 6- Select the filing type and provide the date on which your LLC first transacted business in Texas or the date that it intends to do so.

Step 7- Your organization type (professional or standard) can be checked off here. After this, supply the name of the LLC, the name of the LLC with the appropriate word or abbreviation (e.g. “LLC”, “Limited Liability Company”) and the assumed name to be used if your current name is not available for use.

Step 8- Provide the FEIN followed by the jurisdiction and date of formation.

Step 9- Enter the principle office address on this page.

Step 10- The registered agent of your company will need to be supplied here. Enter the name of the business or individual along the business address. You will also need to indicate the manner in which they are to show their consent.

Step 11- The purpose of the limited liability company can be supplied at this point.

Step 12- Indicate whether the company is member or manager managed and provide the name of each member/manager as well as their address.

Step 13- Any additional information you wish to add can be entered into the first field. After this, you may provide a letter of consent or any other attachment you deem necessary.

Step 14- Type your name as the authorized representative to provide your signature. If you wish to have a delayed effective date, you will be able to supply it at this point.

Step 13- This final page will allow you to enter all the information submitted in the previous articles. Click Submit Filing when you are certain that all data is accurate to officially send the form to the Secretary of State and to pay the filing fee.

How to File a Standard LLC (PDF)

Step 1- To register through the mail, you will first need to download the PDF of the Application for Registration of a Foreign Limited Liability Company.

Step 2- You will now need to provide the following information:

Step 3- Once you’ve filled out the forms completely and accurately, you will be able to print them off and provide your signature as authorized representative. Make an additional copy of the document and attach to it either a check, money order or voucher to pay the $750 filling fee.
