This particular tutorial has been designed to assist those registering foreign corporations with the Texas Secretary of State. As there is an online filing option on the government website, we have included an in-depth look at the e-filing process in our guide below, complete with the appropriate links and screenshots of each step. Filers will also be able to register their corporation through a physical copy of the application. This document is different for profit, non-profit and professional corporations and therefore we’ve gone over each form in detail and included a link for each PDF . When submitting the filing, be it online or through the mail, it is necessary that the applicant pay a $750 filing fee if filing as a for-profit entity or a $25 fee if registering a non-profit corporation.

As in most states, Texas demands that each entity register with a name that is completely unique to that business. To ensure that your name is not already on file with the Secretary of State, it is wise to perform a name availability search before proceeding with the filing process. Furthermore, you may reserve you entity name for 120 days, the process of which will cost $40.

How to File (Online)

The below tutorial can be used for all corporation types, however, there will be slight variations depending on whether you’re filing for a profit, a professional or a nonprofit entity.

Step 1- Those filing online will be required to first register for an account with the SOSDirect online portal. A tutorial of the account creation process can be found here. Once you’re set up with your account, you can navigate to this webpage, supply your login credentials and click Submit.

Step 2- The next page will have you choosing your method of payment for the upcoming session and submitting your contact information.

Step 3- Your payment information will need to be submitted next. They will ask that you include the following:

  • Card type
  • Card number
  • Expiration date
  • Security code
  • Business name or individual name
  • Full address
  • Phone number

Step 4- If you have provided all the previous information correctly, you will be notified on this webpage that you are logged in and you will be presented with your session code. Click on the Business Organizations tab at the top to access to business filing portal.

Step 5- Using the drop down menu, select the foreign corporation filing option that correlates with your entity type. Once selected, click File Document.

Step 6- Select the Application for Registration option in the drop down menu and provide the date on which the foreign entity first transacted, or intends to transact, business in Texas.

Step 7- Enter the name of the corporation as used in the jurisdiction of origin. If it does not include the necessary wording or abbreviation indicating the entity type in your home jurisdiction, provide the name again using the proper terminology in the second field. Finally, if the name isn’t available for use in Texas, submit an assumed name in the third field. If you wish to perform a name availability search, you may do so at this juncture as well.

Step 8- The FEIN of your corporation should be entered here. You will also need to state your jurisdiction of formation and the date of formation.

Step 9- The principle office address should be entered on this page.

Step 10- Provide the registered agent name and office address and whether it is to be a business or an individual. You should also indicate the manner in which you will show that the agent has consented to represent your corporation.

Step 11- The corporate purpose can be indicated in the field on this page. Non-profit corporate representatives will also need to indicate whether or not the entity has members.

Step 12- Supply the names and respective addresses of all corporate directors on the board of directors.

Step 13- Non-profit applicants will need to supply the names, titles and addresses of the officers working within the entity.

Step 14- Any supplemental information or provisions should be written in the provided field. You will also be able to attach a letter of consent or other document if you wish. Click Continue when ready.

Step 15- You will be able to sign the document by typing your name in the execution field. A delayed effective date can be entered at this point if necessary.

Step 16- The final page will allow you to review and edit any information you’ve submitted thus far. If all seems to be complete and accurate, you will be able to click Submit Filing thus paying the filing fee (either $750 or $25) and delivering your completed application to the Secretary of State electronically.

How to File a Profit Corporation (PDF)

Step 1- Registering a profit corporation can accomplished through the PDF of the Form 301.

Step 2- Once opened in your PDF reader, provide the following information:

Step 1- If you don’t plan on filing online, you will need to download the PDF of the Form 302.
