This tutorial has been written to shed light onto the acquisition process of a Texas Certificate of Fact. This document will serve the same purpose that a certificate of good standing would in most other states. The confusion that often occurs in regards to terminology is due to the fact that, in Texas, a certificate of good standing is actually used to reflect the status of your franchise tax account. A Certificate of Fact can be used to relay a number of things, one of which is the status of your account with the Secretary of State. For this reason, should you be trying to expand your business to another jurisdiction or applying for financing, it is this document that you will provide as proof of your good standing. Regardless of how you request the certificate, the cost is $15.

How to Request (Online)

Step 1- In order to purchase certificates online, you must first log into your account. A tutorial on how to register for a SOSDirect Account can be found here. To enter into the portal, submit your user ID and password into the fields on this webpage.


Step 2- Your payment method for all purchases made in the upcoming session will need to be indicated here. Submit your contact information into the presented fields, those that are starred are mandatory. Once all information has been supplied, you may continue.


Step 3- Your payment information will need to be submitted next. They will ask that you include the following:

  • Card type
  • Card number
  • Expiration date
  • Security code
  • Business name or individual name
  • Full address
  • Phone number


Step 4- If all information was submitted correctly, you will be presented with a window resembling the one below. You will be able to access your session code and click on the Business Organizations tab to enter into the website.



Step 5- On the portal homepage you should be able to see the Order-Certificates and Copies link. Click that link to proceed.


Step 6- Begin by selecting the Certificate of Fact option from the first drop down menu. Next, choose the Status option in the Fact Type menu. Submit your filing number and click Add Order Item. Click Submit Order to purchase the order once it’s been added to the grid. You will receive an email when the order is processed indicating that it is ready for retrieval in your briefcase.
