This webpage has been created to guide representatives of foreign entities through the registration process in South Dakota. As there is currently no online application method available, filers will be required to submit all documents through the mail. To create a foreign entity you must accomplish the following: print off the Application for Certificate of Authority, submit the required information, gather additional certificates and documents, attach a filing fee in the correct amount ($750 for profit, $125 non-profit), and forward all articles to the Secretary of State. Each application, once completed, must be printed in duplicate. Additionally, all foreign entities will be required to supply a certificate of good standing/existence from their state of initial incorporation. To begin the filing process, scroll down to the tutorials below to get your foreign entity up and running.

It is recommended that all entities seeking acceptance to transact business in South Dakota perform a Business Entity Search. This search will allow you to see if your desired entity name is currently available. All applications filed with a business name already in use will unfortunately be rejected. You may also wish to employ the use of a Name Reservation application. Filing for name reservation will allow you to hold onto a desired entity name for up to 120 days prior to registration.

How to File a Profit Corporation

Step 1- Filers must begin by downloading the Application for Certificate of Authority.

Step 3- Once the document is complete, it must then be printed in duplicate. The filing fee required for foreign profit corporations is $750 and is payable by check made out to the Secretary of State. Tips

Renewal – Each corporation in the State of South Dakota is required to renew their registration annually to remain in good standing. This renewal can be accomplished by navigating to this website and inputting your business ID # into the entry field. If you are unaware of your business ID #, performing a quick entity search will provide you with that information. A filing fee in the amount of $10 will be required to complete renewal. Failing to renew can be costly and may result in your corporation being viewed as delinquent. Filers may also choose to file their report through the mail. To do so, access this website and download the renewal application corresponding to your entity type. Once obtained, forward both the fee and the application to the address below.
