Filing for a domestic corporation can be accomplished easily with the registration process the Secretary of State has provided. While most states have an online application system available, South Dakota requires all prospective business owners to send their documents through the mail. Individuals must first download the Articles of Incorporation PDF found within the tutorials below. With this document printed and completed in duplicate, a filing fee must be attached in the amount of $150 for profit corporations or $30 for non-profit ( fee payable by check made out the the Secretary of State). All articles must then be forwarded to the proper authorities. That’s all there is to it, just a few steps and the registration process is done! To learn more about the information demanded of you, scroll down to the tutorial below.

To ensure the availability of your desired entity name, we recommend that all filers perform a preliminary check of the Secretary of State’s database to see what names are currently on file. You may also wish to reserve a name prior to registration by filing an Application for Name Reservation. This filing will allow you to hold onto a desired name for up to 120 days.

Renewal – All corporations in South Dakota, regardless of entity type, are required to file a report annually with the Secretary of State to remain in good standing. Failing to comply with these regulations will result in your entity being viewed as delinquent. To renew, navigate to this website and submit the required business information. To gain access to your business details perform an entity search. A filing fee in the amount of $50 for profit corporations or $10 for non-profits will be required to complete the renewal process.
