Welcome to the Start a Business webpage created to assist individuals registering a partnership in South Carolina. The Secretary of State has provided an online registration system through which representatives can manage their business filings with an pre-existing account. We have also supplied downloadable PDF files for those who wish to file their formation documents by mail. Each paper application must be completed in duplicate and attached to the appropriate filing fee before being mailed to the authorities. For LPs, the required filing fee is $10, while LLPs must provide a total of $100 (fees remain the same regardless of whether foreign or domestic). It is highly recommended that you perform a Business Entity Search prior to filing for formation to check the availability of your desired operating name. The Secretary of State will reject an application submitted with a name already on file in their systems. Furthermore, you may reserve a name for 120 days with a $10 Name Reservation application.

How to File a Domestic LP (Online)

Step 1- Filing for a domestic LP begins by logging in with your online account. For individuals who have yet to create an account, click here to view our tutorial on that procedure.

Step 2- Once logged in, click here to access the online filing system. Choose the type of partnership you would like to form by selecting one of the options from the drop-down menu.

Step 3- Specify the residency of your partnership on the following page. Use the menu to select one of the available options.

Step 4- Enter the name of your partnership into the text box. The name must contain the word “limited partnership” or the appropriate abbreviation.

Step 5- A statement will then be displayed regarding your limited partnership’s application for formation under the proposed name entered in Step 4.

Step 6- Your partnership’s registered agent must now be provided. Enter the name of an agent that fulfills the requirements specified in the provided list.

Step 7- Continue by entering the address of the registered agent. The address must be a physical address in South Carolina (P.O. Boxes cannot be used).

Step 8- The principal office address of the LP must now be provided, whether or not in the state of South Carolina.

Step 14- The latest date upon which the limited partnership is to dissolve must now be specified.

Step 15- Optional provisions may now be provided by either manually inputting them into the entry field, or uploading a document containing the provisions with the Choose File tab. Be sure to specify the delivery method and file format if you choose to upload additional provisions.

Step 16- The effective date of your partnership’s existence must now be provided. If no effective date is chosen, the existence of the partnership will begin upon filing with the Secretary of State.

Step 17- On the following page you will see a brief notice regarding the exclusive rights of the partnership’s operating name.

Step 18- Click on the Signature Sheet link to download the signature package. The package must be signed and uploaded in order to complete your filing. Use the Save & Stop tab to pause the application process and return once the signatures have been acquired. Click Continue once you have obtained the necessary signatures.

Step 19- The signatures must now be uploaded in order to continue. Use the Choose File tab and select an item from your computer files containing the package. Specify the delivery method and file format before clicking Continue to proceed.

Clicking Previous will allow you to go back to any point in the filing process and alter any details that may have been supplied incorrectly.

Step 21-Simply click Continue on the following page to add your application to the shipping cart.

Step 22- Next, you will see a description of the required filing fee. This is your last opportunity to go back and change any details that may have been supplied incorrectly.

How to File a Domestic LLP (Online)

Step 1- Before starting, an account must be created in order to access the online filing system. A tutorial on that procedure can be found here. With your account created, continue by logging into the online portal.

Step 2- Click here to access the filing system and begin the registration process. Select the type of partnership you would like to form by choosing one of the available options from the menu.

Step 3- Specify your partnership’s residency by choosing one of the available options.

Step 4- The name of the partnership must now be provided. Enter a name into the text box and click Continue to proceed.

Step 5- On the following page the Secretary of State wishes to know the reason behind your filing. Select the New option, and then enter the activities your partnership wishes to engage in.

Step 6- Enter the address of the registered office (agent) in South Carolina. Each LLP must maintain continuously in the state a registered office at the same address as the registered agent, for the purposes of service or process and governmental correspondence.

Step 7- If the principal office is not located in South Carolina, enter the address where the principal executive office is located.

Step 8- The name of the registered agent must now be supplied. An agent may be an individual resident, a domestic corporation, an LLC, or a foreign entity authorized to do business in South Carolina.

Step 9- Specify the effective date of formation, if not effective upon filing with the Secretary of State.

Step 10- Enter the amount of partners your limited liability partnership contains by supplying a number into the entry field.

Step 11- Click Add to begin supplying the names and addresses of the partners, which together, own more than 50% of the business.

Step 12- Enter the name and business title of an individual that meets the requirements of a majority partner.

Step 16- Read the statement displayed on the following page carefully to get a better understanding of the rights your partnership obtains once acceptance of formation has been received from the Secretary of State.

Step 17- Click on the Signature Sheet tab to download a package from the Secretary of State containing a document that must be signed by the appropriate individuals and uploaded in order to complete the filing process. Use the Save & Stop option at the bottom to pause the registration process and gather the required signatures.

Step 18- With the signatures obtained, continue by using the Choose File tab to upload the document containing the signature package. Specify the delivery method and file format before clicking Continue to proceed.

Step 19- All the information you have supplied so far will be displayed on the following page. At this point you may go back and alter any details that you can see as being inputted incorrectly by using the Previous tab at the bottom. Once your application has been verified, click Continue to proceed.

Step 21- A filing fee of $100 will be required in order for your application to be processed. Click Checkout to move on to the final stages of registration.

How to File a Foreign LP (Online)

Step 1- The filing for a foreign limited partnership begins by logging into your online account. If an account has yet to be created, our tutorial here will provide you with guidance on that procedure.

Select the link titled Click for Required Signatures Form to download the package. At this point you may use the Save & Stop tab to pause your filing and return once the appropriate signatures have been obtained.

Tips

EIN – An Employer Identification Number issued by the Internal Revenue Service is a unique number given to legitimate tax-paying employers operating legally in the country. Obtaining an EIN should be done as soon as acceptance of formation has been received from the Secretary of State. Applying for this number is simple and can be accomplished Online, or through the mail by downloading and completing the PDF Form SS-4. Once an EIN has been obtained, your businesses will be able to hire employees, apply for loans, register for bank accounts, and perform a number of other business transactions. Partnership Agreement – Drafting a partnership agreement during the initial stages of formation can greatly strengthen the organization of your business’s internal affairs. An agreement between the general partners may be used to define a number of rules and regulations that would otherwise remain undocumented. Since the Secretary of State has no legal requirement that an agreement be drafted, each partner must instead sign the document and file a copy for their own personal reference. The link at the heading of this paragraph will provide you with more information about its purpose and will present you with a free downloadable template agreement in MS Word and PDF file formats.

Renewal – The Secretary of State requires all partnerships to renew their registration annually to remain in good standing. Limited partnerships are able to renew when filing their annual income tax reports while limited liability partnerships must file an online report with the Department of Revenue. The LLP renewal requires filers to first create an account to access the online portal (tutorial on that process here). A fee will be required, the amount of which varies between entity types. LP’s must submit a fee based on their taxable income, and LLP’s must provide $100 by electronic funds withdrawal (checking or savings account) or by credit/debit card.
