This tutorial has been set up specifically for the LLC operator looking to expand their business into the State or Rhode Island. Unfortunately there is no online filing process for foreign applicants, and for this reason the below tutorial will be a brief one. Along with your application you will need to provide proof of existence and good standing from the state or country of your initial formation. You will be able to do so by attaching a certificate of good standing or like document to your application which has been approved by the necessary authorities. Along with the two aforementioned documents, you will have to supply the filing fee of $150 made out in the form of a check to the R.I. Department of State.

Before registering, take a moment to cross check the government online name database through the use of a Business Entity Search. This will allow you to discern whether your LLC name is indeed usable in this State. Furthermore, you may commit to a Name Reservation should you wish to protect the rights to your name for a period of 120 days prior to application. This will cost of $50.

How to Apply

Step 1- When applying as a foreign LLC, you will need to first download the Application for Registration.

Step 2- Once opened in your PDF viewer, you will need to supply the below information:

  • 2- Jurisdiction of initial formation
  • 3- Date of organization and period of duration
  • 4- Name and address of registered agent

Step 3- Along with your application, there will be a filer contact information sheet. On it you will be required to submit the following:

  • Name
  • Phone number
  • Proposed entity name
  • Address
  • Email address
