Registering a partnership in the State of Pennsylvania is a simple procedure that can be accomplished with the tutorials found on this webpage. The filing process for both foreign and domestic partnerships can be accomplished both online and through the mail. To file online you must first create an account with the Department of State. Once an account has been created, you will then be able to complete the entire registration process from your computer. Filing through the mail can be accomplished by downloading and completing the PDF application associated with your entity type and forwarding it to the Department of State. Regardless of how you choose to file, a fee must be provided to process your application (fees stated below). Foreign partnerships must also include, along with the form and fee, a certificate of good standing from the initial jurisdiction of formation. Each entity in Pennsylvania must operate under a unique business name that is distinguishable from all others on file with the Department of State. For this reason we recommend that you perform a Business Entity Search of the database to see if the desired name you have chosen for your business is available for use. You may also find it useful to file a Name Reservation application as it will allow you to reserve a business name for 120 days prior to filing.

How to File a Domestic LP (Online)

Step 1- Begin by logging in to your account with the Department of State. If you have yet to create an account, click here to view our tutorial on that process.

Step 2- Navigate to this website and enter your entity’s name into the provided entry field, then supply a business designator by selecting one of the options from the drop-down menu. Click Searchfollowed by Continue.

Step 3- On the following page you must supply the address of the registered office or the name of a commercial registered office provider.

Step 4- Adding general partners can be done by supplying the name and address of either an organization or an individual. Click the Add General Partner tab once the information has been submitted.

Step 5- On the following page you must specify the effective date of formation for your entity.

Step 6- To upload additional documents with your registration click the Choose File tab and select an item from your computer files. Once selected, click Upload Attachment. A maximum of 5 items may be included.

Step 7- The following page displays a summary of all the information that has been submitted so far. Take the time to ensure that everything has been entered correctly and use the Edit tabs on the right to adjust any details you may wish to alter. Click Proceed To Cart to continue.

Step 8- The fee you will be required to pay is shown on the following page. Domestic LPs must supply $125, payable by most major credit cards.

Step 9- Lastly, enter your credit details and billing information into the entry fields provided. The registration process is completed upon clicking the Make Payment tab on the bottom right.

How to File a Foreign LP/LLP/LLLP (Online)

Step 1- Start by logging into the Department of State’s website with your previously acquired account. If you have yet to create an account, click here to view our tutorial on that process.

Step 2-  Once logged on, navigate to this website to access the online filing system. A statement will then be displayed which must be agreed to. Click the small box just underneath the statement, followed by Continue.

Step 3- Select the type of entity you would like to create by choosing one of the options from the drop-down menu.

Step 4- Enter the name of your business into the entry field and click Search then Continue.

Step 5- Specify the initial jurisdiction of your entity’s formation by selecting one of the options from the drop-down menu. Next, provide the address of the principal place of business as well as the address of a registered office. Alternatively you can provide name and address of a commercial registered office provider.

Step 6- On the next page you must supply the effective date of formation and specify as to whether or not your entity will have a series.

Step 7- To provide any additional documents that you may wish to include with your registration, click the Choose File tab and select up to 5 items from your computer files. Click Upload Attachment, then Continue to proceed.

Step 8- On the next page, enter your name and business title into the two entry fields then click Review Filing to continue.

Step 9- You may now alter any of the information that has been submitted so far. Click the blue Edit tabs on the right in the corresponding section that you would like to change. After verifying that all the details are correct, click Proceed To Cart.

Step 10- $250 filing fee will be required to process your registration application. Click Checkout to proceed to the last section of this tutorial.

Step 11- Your application will be completed upon providing your credit card and billing information into the entry fields. When you are ready to finalize your application and conclude the registration process, click Make Payment.

How to File a Domestic LP (PDF)

Step 1- Filers must begin by downloading the Certificate of Limited Partnership.

Step 2- With the application downloaded continue by submitting the following information:

  • Return mailing address
  • 1-Name of the LP
  • 2a-Address of the registered office in the Commonwealth (if applicable)
  • 2b-Name of the commercial registered office provider (if applicable)
  • 3-Name and address of each general partner
  • 4-Effective date
  • Date signed
  • Signature of each partner

EIN – An Employer Identification Number must be acquired as soon as correspondence from the Department of State has been received regarding acceptance of your entity’s registration. The EIN is a number given by the IRS which is used to identify businesses for tax reporting purposes. Without an EIN you will be unable to legally hire employees, apply for loans, register for bank accounts, or perform a number of other important transactions that are necessary to the operation of any business in the country. Partnership Agreement – Drafting a partnership agreement to outline the rules and regulations of your business is something that is not legally required, though highly recommended as it can help organize the partnerships internal affairs. Renewal – An annual report must be filed with the Department of State to notify them of any changes that may have occurred to your business in the past year. This report is necessary to remain in good standing and to continue business operations as normal. Failing to renew can limit your operations as a partnership and will result in your status being set to delinquent.
