Registering a foreign entity in the State of Pennsylvania may seem like a somewhat cumbersome task at first glance, however, with the assistance of the detailed tutorials we have provided on this webpage, you will find that filing is actually quite an easy procedure. If you have looked at the Department of State’s website already then you will have noticed that there is an online filing system. This online method of application is the best option available in regards to registration as it will deliver the filing forms to the Department of State instantaneously. The only stipulation is that you must first create an account with the Department of State to access this system (click here to view our tutorial on account registration). You may also apply through the mail by downloading the PDF application corresponding to your entity type and forwarding it to the Department of State offices along with a filing fee. Regardless of what method of application you choose, the filing fee will remain at $250.

Before commencing the registration process, it is recommended that you perform a Business Entity Search of the Department of State’s database to ensure that the name you have chosen for your entity is available for use. With a name chosen, you can then guarantee its availability for 120 days prior to filing your documents by utilizing the Name Reservation application.

Tips

Renewal – Like in most states, Pennsylvania requires the majority of its entities to file an annual report with the Department of State to update their registration details. By downloading and completing the PDF file associated with your entity type, you will be able to satisfy all the requirements necessary to renew. Currently there is no state law requiring standard foreign LLCs to file, however, all professional service companies must renew and provide $520 per member. This application can be acquired in the heading of this paragraph and must be mailed to the address below once completed.
