Welcome to the Start a Business tutorial dedicated to simplifying the Oregon partnership registration process. Unfortunately, there is no online filing method available for partnerships and instead we have linked all the requisite PDFs to use for submitting your documents in the mail. Filers must download and complete the provided forms and submit them once completed to the proper authorities with an attached filing fee (fees stated below). Foreign partnerships must also include a certificate or good standing/existence from their initial jurisdiction of formation. Before commencing the registration process, we recommend that all filers perform a Business Entity Search to check the availability of the name chosen for their partnership. Filing an application with a business name that is already in use will result in the application being rejected. Reservation of a name may be made 120 days prior to registration with the Application for Name Reservation..

How to File a Domestic LP

Step 1- You may begin the filing process by downloading the Certificate of Limited Partnership.

Step 2- For this application, you will be required to submit the following information:

  • Name of the LP
  • Duration of business
  • Address of the primary office
  • Registered agent
  • Registered agent’s address
  • Address to receive statements
  • Name and address of each general partner
  • Former name of sole partnership
  • Signature and printed name of partners

OR-Certificate

Step 3- Once this document has been completed, it must then be signed by the appropriate individuals. A filing fee must also be attached in the amount of $100. The fee should come in the form of a check made payable to the Corporations Division. Send the application and the filing fee to the address below.

How to File a Domestic or Professional Service LLP

Step 1- Registering a domestic LLP requires filers to first download the Application for Registration.

Step 2- The following information will now be required:

  • Name of the LLP
  • Address of the principal office
  • Address to receive statements
  • Statement of business activity
  • Name and address of at least two partners
  • Services being rendered (professional service only)
  • Signature, printed name, and title of each partner
  • Contact name
  • Phone number

Step 3- Upon completion of this document, a filing fee must be attached in the amount $100 in the form of a check made out to the Corporation Division. Have both articles mailed to the address below.

How to File a Foreign LP

Step 1- To file a foreign LP, begin by downloading the Application for Registration.

Step 2- Once downloaded, you must then supply the following information:

  • Name of the LP
  • State or country of initial filing
  • Registry number from home jurisdiction
  • Date of formation
  • Duration (if not indefinite)
  • Address of the principal office
  • Statement regarding location of records upon dissolution
  • Name of the registered agent
  • Address of the registered agent
  • Address to receive statements
  • Name and address of each general partner
  • Signature and printed name of each general partner
  • Contact name
  • Phone number

Step 3- Once this application has be completed and signed correctly, a filing fee in the amount of $275 must be attached (payable by check made out to the Corporation Division). Foreign entities must also supply a certificate of good standing/existence from their initial jurisdiction of formation. Mail all articles to the address below.

How to File a Foreign LLP

Tips

EIN – Once acceptance of your registration application has been received from the Secretary of State, you must then obtain an Employer Identification Number from the IRS. Without an EIN you will be unable to perform a number important transactions that are crucial to the operation of most businesses . For instance, you will be unable to hire employees, apply for bank accounts, register for loans, or be recognizable to the government for tax reporting purposes. To obtain an EIN, you may apply Online, or through the mail with the PDF Form SS-4. Click on the link at the heading of this paragraph to gain more information.

Partnership Agreement – A partnership agreement is an internal document that will allow you to state the rules and regulations you wish to govern your partnership. The roles and responsibilities of the managing members can be defined clearly along with any financial or logistical provision deemed necessary for inclusion by the founding partners. Since the agreement is not filed with the Secretary of State, it is not required by law. However, we do highly recommend that you take a moment to view the template we have provided, with the aid of legal counsel, to see if drafting this agreement could be beneficial to your organization. Renewal – An annual report must be filed with the Secretary of State in order for your business to remain in good standing. A notice will be sent to your business’s primary office stating the mandatory date of renewal. Your business registry number will then be required to login to the online filing system that the state has provided. If you are unaware or your registry number, performing a quick business search will provide you with that information. Click on the link at the heading of this paragraph to access the online filing system and begin the renewal process. A filing fee will be required to finalize your report with the fees varying between entity type. All domestic partnerships must pay $100 while foreign entities must supply $275 (payable by major credit card). Filing through the mail is also possible but only after a request to the Secretary of State’s office has been made (503-986-2200).
