Welcome to the Start a Business webpage committed to providing representatives of foreign LLCs with all the information necessary to file in the State of Oregon. There are two filing methods available; online and through the mail. To file with the online system, applicants will first be required to set up an account with the Secretary of State. Filing through the mail can be accomplished by downloading the appropriate PDF, and forwarding the completed document to the Secretary of State offices. Each method of application will require a filing fee in the amount of $275 (payable by credit card, or a check made out to the Corporation Division). All foreign entities must also supply a certificate of good standing from their initial jurisdiction of formation.

We recommend that all filers perform a Business Entity Search before beginning the registration process to ensure the availability of a desired entity name. Prior to registration, a name may also be reserved for 120 days by submitting the Application for Name Reservation.

How to File (Online)

Step 1- The online registration system requires filers to create an account with the Secretary of State. Click here to find out more information on how to obtain one. With your online account created, continue by accessing this website, then submit your login information.

Step 2- Out of the four options presented on the following page, choose the first, titled Start.

Step 3- Next, simply click the Register Name tab.

Step 4- On this page you must specify the type of entity you would like to create by choosing one of the options from the drop-down menu.

Step 5- In the business overview section, the following information must be supplied:

  • Business name
  • Activity description
  • Business email
  • Re-enter business email
  • Mailing address (country, zip, street address, city, state)
  • Daytime contact information (name, phone number)

Step 6- Click the Foreign Principal Information tab the continue. Enter your entity’s initial date of incorporation, jurisdiction of formation, duration of business, and primary address.

Step 7- A registered agent must be supplied by providing an individual, or an entity on record in Oregon. If you choose an individual as your agent, give the name and address of that person. To supply an entity on record, simply enter the registry number, followed by an address.

Step 8- Select whether you LLC is managed by a member, or a manager.

Step 9- Click the Member/Manager tab to optionally add individuals to the list of managers and members of your LLC. You may add an individual entity registered in Oregon, or an entity not registered in Oregon. Depending on what method you choose, a few pieces of information will be required. You must either supply an individuals name, a registry number, or a business name, followed by an address.

Step 10- Each foreign entity will be required to submit a certificate of good standing from their initial jurisdiction of formation. Click the Choose File tab to provide a document from your computer files. Click Continue to proceed.

Step 11- The next page displays a summary of all the information submitted so far. You may alter any data you wish to change by clicking Edit. When you are ready to move forward, click Continue.

Step 12- A statement will then be displayed asking you to verify that your application is correct and that additional charges may apply.

Step 13- Supply your business title and name into the two entry fields. Check the box beside Sign to supply a virtual signature, then click Submit.

Step 14- Here you will see a description of the filing fee you will be required to pay ($275). Click Ok to proceed.

Step 15- The last step in the registration process is to pay for your application. Begin by inputting your contact information into the entry fields provided, then click Next. You must then supply your credit card number, expiration date, and the three digits on the back of the card. To finalize your payment and conclude your registration, click Next.

How to File (Mail)

Step 1- To fine your application through the mail, you must first download the Application for Authority to Transact Business.

Step 2- With the application downloaded, the following information must now be submitted:

  • Name of the LLC
  • Registry number in home jurisdiction
  • Date of organization
  • Duration (if not perpetual)
  • State or country of organization
  • Name of the Oregon registered agent
  • Registered agent’s address
  • Address of the principal office
  • Address to receive statements
  • Choose whether your LLC is manager or member managed
  • Signature, printed name, and title of each member/manager
  • Contact information (name, phone number)

Step 3- Have this application printed and signed by all the managers/members involved in your LLC. A certificate of good standing from the initial jurisdiction of formation, as well as a filing fee of $275 must be attached (payable by check made out to the Corporation Division). Have all articles mailed to the address below.

Tips

Renewal – Each entity in the State of Oregon will be required to submit an annual report to remain in good standing. A notice will be mailed to you approximately 45 days prior to the due date and in this time you must access the online filing system on the Secretary of State’s website to submit your renewal. Foreign LLCs must provide a filing fee in the amount of $275 to complete the process (payable by most major credit cards). Filing through the mail is also possible, but first a request for the appropriate forms must be made (503-986-2200). Failing to renew your registration will result in a limitation to the transactions your business will be able to perform.
