The process of registering a foreign corporation in the state of Oregon has been made as simple as possible with the tutorials found on this webpage. The online filing system that the Secretary of State has provided is an extremely useful tool and the simplest approach to getting an entity filed. An online account must be created to access the filing system though the registration process will only take a few minutes. Unfortunately, those looking to file a non-profit corporation will be required to submit their application through the mail. Profit corporations will of course also have the option of opting out of e-filing should they wish to submit the physical application form instead. Regardless of the manner in which you register, a filing fee of $275 for profit entities and $50 for non profits will need to be submitted with your filing forms. Foreign entities must also submit a certificate of good standing/existence with their application.

It is wise for any entity seeking registration in the state to perform a Business Entity Search prior to registration. Doing so will provide you with a list of all entity names that are available for use. Failing to register your business with a unique operating name will result in your application being rejected. If you would like to reserve a name prior to filing, you may do so by mailing the application for Name Reservation to the Secretary of State, providing you with 120 days in which to register while the use of your name is protected.

How to File a Profit Corporation (Online)

Step 2- On the following page, simply click Start.

Step 3- Out of the three options available on this page, choose the first one titled Register Name.

Step 4- Here you must specify the type of business you would like to create. Choose an option from the drop-down menu (foreign non-profit corporation).

Step 5- The information that is required for the Business Overview section is as follows:

  • Business name
  • Description of the activities your entity will perform
  • Business email
  • Re-enter your business email
  • Mailing address (country, zip, street address, city, state)
  • Daytime contact information (name, phone number)

Step 6- Click the Foreign Principal Information tab to supply your entity’s date of incorporation, jurisdiction of incorporation, and duration, followed by the address of the primary office.

Step 15- Lastly, a payment must be made using your credit card. Begin by submitting your contact information, then your credit card details. Verify that all the information has been inputted correctly then click Next to finalize your payment and complete the registration process.

How to File a Profit or Professional Service Corporation (Mail)

Step 1- The registration process begins by downloading the Application for Authority.

Step 2- Continue by submitting the following information:

  • Name of corporation

Step 1- To register a non-profit corporation by mail, filers must download and print the Application for Authority.

Renewal – An annual report must be made in order for your business to remain in good standing with the state and continue business operations as normal. It is a simple process that should only take you a few minutes using the online filing system provided through the Secretary of State’s website. During this period, your business will be allowed to specify any changes that have been made to your business structure. Failing to renew your registration will result in a limitation to the business transactions your corporation will be eligible to perform. To renew, click the link at the heading of this paragraph to access the online filing system. If you wish to renew through the mail, a request must be made to the Secretary of State for the proper documents (503-986-2200). A fee will be required to complete the renewal process ($275 for profit and professional service, $50 for non-profit).
