A corporate bylaws document is an agreement set in place between the managing members of a corporation. Stated within this internal document are the provisions put in place by the founding members which will dictate the organization of the entity’s internal affairs. The drafting of a corporate bylaw is not required by law in the state of Oregon and needn’t be submitted to the Secretary of State once completed.
