Welcome to the tutorial created by Start a Business which has been designed to give insight into Oklahoma’s partnership registration process. There are two methods in which the requisite filing forms can be submitted to the Business Filing Department; through the mail and online. We always encourage our readers to file online as it is, more of then than not, the quickest and smoothest registration option. Alternatively, filers will be able to download the requisite forms here on this webpage, fill them out on their computer and mail them with an attached check to the office of the Secretary of State. Within this tutorial we’ve covered all partnership variations available for formation or registration in Oklahoma (list supplied below).

Before you get started, it would be wise to crosscheck the Secretary of State name database through the use of the Business Entity Search function. This search will allow you to ascertain whether or not your partnership name is available for use. You may also find that a Name Reservation is necessary precaution to take prior to registration. This filing will cost only $10 and will give you a window of 60 days in which your name will be completely secure.

How to File a GP (Online)

Step 1- The file your Statement of Authority online for a general partnership, you will first have to navigate to this website and select the Partnership option at the bottom of the Domestic organizations window.

Step 2- If you don’t have an account with the Secretary of State online filing system, you will need to provide your name and email here.

Step 3- Next, click Start New  to get to the first step of the application.

Step 4- This will simply show you the statutes which concern your particular entity. Click Next  to advance to the next step.

Step 5- Here, you will be able to provide the name of the partnership and click the magnifying glass icon to the right of the search field to check its availability. If there are no results found, you may continue using that name.

Step 6- The address of the chief executive office must be provided here. You may also supply the email address of the business if you wish.

Step 7- Provide the street address of the partnership’s office in Oklahoma if applicable.

Step 8- Here you must supply the type of registered agent, their full name, as well as the registered office address in Oklahoma. Click Next to continue.

Step 9- You may add the name and address of each general partner by clicking Add Partner and submitting the requisite information into the fields that present themselves. When all partners have been added, you may proceed to the next step.

Step 10- If there are any partner limitations in regards to any or all of the partners, you will be required to submit them at this juncture.

Step 11- Any attachments may be submitted here. However, general partnerships are not required to supply any additional certification.

Step 12- Provide the signature of each general partner by typing the name of each as submitted previously in the application. When all signatures have been prepared, click Next.

Step 13- Here you will be able to review all the information you’ve submitted in the previous steps. If anything seems inaccurate, you will be required to go back and make your final edits now before proceeding to the next phase.

Step 14- The description of the partnership type and the fee will be shown here, if all seems appropriate, click Begin Checkout to continue onward.

Step 15- In order to pay, you will either have to sign into your account or Continue as Guest. Make your selection to continue to the next step.

Step 16- This will only be necessary for those who will be filing as a guest. Supply your full name, address and contact information after you’ve supplied your business name and click Submit. This will get you prepared to pay the $100 filing fee.

Step 17- This stage will show you the items in your cart,  present you with the sub-total, and give you the opportunity to pay by credit card or ACH account. Should you be logged into your portal, you may pay by a pre-paid account set up with the Secretary of State. The following page will have you confirming the billing information and officially submitting your filing into the authorities.

How to File a Domestic LP or Professional LP (Online)

Filing as a domestic limited partnership representative, or that of a professional limited partnership, involves a number of online steps should you decide to take this route. The two partnership types have very little difference in terms of information asked by the Secretary of State, and for this reason, we’ve combined them into this one, step by step guide.

Step 1- To begin, navigate to this webpage and select your partnership type from the list.

Step 5- The entity name will need to be provided at this juncture, with the proper suffix in place. Click the magnifying glass to be informed of your name’s availability before clicking Next (providing that the name is indeed available for use).

Step 6- The address of the office in the State of Oklahoma where the records of the partnership are kept should be provided on this webpage.

Step 7- If there is to be a future effective date, you will be able to provide it here. Otherwise, click Next.

Step 8- The partnership’s duration can be indicated at this juncture. If it’s perpetual, you will be able to proceed to the next step. Otherwise provide the length of duration or the expiration date.

Step 9- The registered agent information can be provided here including the type, the name and the full address of the individual or business.

Step 10- Supply each general partner’s name and address by clicking the Add General Partner button and entering them one by one. Once all have been submitted, you may proceed.

Step 11- There are no attachments required of limited partnerships however those LPs created for the purpose of carrying out professional services will be required to supply certification from the proper regulating board associated with the entity’s profession. Click Add Attachment to upload the PDF before continuing to the next step.

Step 12- Any other matters concerning the partnership should be relayed at this juncture.

Step 13- Provide the signature of each general partner by entering their name into the presented field once Add Signature has been clicked. When all signatures have been submitted, proceed to the next step.

Step 14- Here you will be able to review all the data provided in the previous steps. If anything seems incorrect or out of place, now is the time to make your edits. Click Continue to prepare the payment of the filing fees.

Step 16- Before paying, you will need to indicate whether you have an account or if you’d like to Continue as Guest. If the former is the case, provide your Username and Password before clicking on the Secure Sign In link.

Step 17- Those who are not account holders will be required to supply their business name, full name, full address and contact information before proceeding.

Step 18- Your cart should look similar to the one below only it will display the entity type and the filing fee total of $100. You may, if you’re registered with the portal, pay by pre-paid account. Otherwise, the payment options are credit card and ACH account. Provide your billing info before advancing to the next page which will have you officially submitting your request to the office of the Secretary of State.

How to File a Domestic LLP (Online)

Step 1- To file a domestic limited liability partnership online, you will first need to find your way to this webpage. There, you will be able to scroll down until the below window presents itself. Click on the domestic LLP option to continue.

Step 2- If you aren’t an account holder, you will be required to submit your name and email before proceeding.

Step 3- Simply click Start New at this juncture to indicate that this is a new filing.

Step 4- This window is just letting you know the statutes that detail the laws surrounding the formation of a limited liability partnership. Click Next to continue.

Step 5- Supply the LLP name into the provided field and click the magnifying glass to check whether it is available. If this is the case, you will be able to advance by clicking Next.

Step 6- The next page will have you entering the address of the partnership’s chief executive office as well as its email address.

Step 7- If there is to be a delayed effective filing date, you will need to indicate that this is the case here. Otherwise you will be able to click Next to continue.

Step 8- Supply the type, name and office address of your registered agent into the fields on this page before advancing.

Step 12- A general overview of all the information supplied in the Statement of Qualification should be reviewed to ensure accuracy. Providing that all data has been submitted correctly, click Continue to take the requisite steps in providing the filing fees.

Step 14- If you are an account holder, you will be able to enter your login credentials here to enter into your portal. In the case that you don’t plan on frequenting the site, you will have the option to Continue as Guest if you like.

Step 15- For those filing as guests to the Secretary of State website, enter your business name, full name, full address and contact information before continuing.

Step 16- The shopping cart should look something like the one below. For all filers, there will be the option of payment by credit card as well as payment by ACH account. Those who have registered for an account with the website will be able to pay through said account if they wish. The following page will have you reviewing a summary of the billing info and officially supplying the Secretary of State with the application.

How to File a Foreign Partnership (Online)

Those filing for limited, limited liability and professional limited partnerships will be able to do so with the help of this tutorial.

Step 1- To begin, navigate to this website, scroll down, and select your entity type from the list.

Step 4- This page is simply providing you with the filing requirements as well as the statutes of your partnership type before filing. Click Next when ready.

Step 5- The entity name must be checked for availability first. Enter it into the provided field, click on the magnifying glass on the right of the field and, if no results are found, proceed by clicking Next at the bottom of the page.

Step 6- Here you can supply the address of the office at which a list of names and address of limited partners is kept.

Step 7- Next, the address of the office which is required to be maintained in your state or country of initial formation should be entered.

Step 8- The duration of the term in Oklahoma can be indicated by choosing between perpetual or non-perpetual. If the latter is the case, you will have to supply the number of years from the effective date of this filing the partnership is to exist or the expiration date.

Step 9- If you are forming a limited partnership, professional or otherwise, it is necessary that the Secretary of State be your registered agent. You will have the option to add a secondary registered agent at this juncture if you wish. Once you’ve made your decision, proceed to the next step.

Step 10- LLPs will, on this step, need to enter in all the information regarding their registered agent into the fields below. LPs on the other hand will find it pre-filled by the Secretary of State, as the government office will be automatically serving as their registered agent.

Step 13- Add the name and address of each general partner by clicking the Add General Partner link and submitting the information into the fields. Click Next only when each individual/business has been supplied.

Step 14- Limited partnerships will need to, at this point, upload a certificate of good standing or like document from their jurisdiction of origin which has been filed within 60 days of this application. On top of that, professional entities will need to upload a PDF of the certification given by the regulating board associated with their particular profession in order to be deemed legitimate. Once all requisite forms have been supplied, you may proceed.

Step 15-  The signature of each general partner can be supplied by clicking Insert Signature once the name has been typed into the field. You may proceed once all signatures have been inserted into the forms.

Step 16- Finally, all the information that has been submitted will be viewable in this summary. Review the data to ensure that it is accurate before clicking Continue.

How to File a GP (PDF)

Step 1- Those looking to file as a general partnership in Oklahoma will need to do so by first downloading the Statement of Partnership Authority.

  • 1- Name of the partnership
  • 2- Street address of chief executive office and, if applicable, address of chief executive office in Oklahoma
  • 3- Name and address of agent or names and addresses of partners authorized to execute an instrument transferring real property held in the name of the partnership

How to File a Foreign LLP (PDF)

Step 1- To start the paper filing process for your foreign limited liability partnership, you must first download the Statement of Foreign Qualification.

Step 2- You will be required to indicate the nature of the filing by selecting one of the three boxes at the top of the page. Following this, all of the below information must be submitted in order for the filing to be deemed acceptable.

  • 1-Name of partnership or fictitious name to be used in Oklahoma

  • 3- Name and address of partnership’s agent of service of process in Oklahoma
  • 4- Future effective date (if applicable)

Tips

Partnership Agreement– In the State of Oklahoma, it is not required that the initial general partners of a partnership draft a binding agreement in the beginning phases of formation. Renewal– The act of renewing your business can be achieved through the submission of an annual certificate to the office of the Secretary of State. It is necessary that all limited partnerships file this document on the anniversary month of their initial filing. Filers can choose between online filing (link found in heading of paragraph) and paper filing (form found here). In both cases, a $50 filing fee will be charged which can be paid by credit card, ACH account, pre-paid account or check depending on the manner in which you submit your documents.
