Welcome to the Start a Business webpage dedicated to the registration of foreign limited liability companies in Oklahoma. Filers will find that there is both an online and a paper filing process. We always recommend that when an online application process is available filers take advantage as it allows for the instant delivery of the filing forms to the Secretary of State. Furthermore, there exists an option to create an online account with the filing portal which will allow you to successfully manage your filings electronically post-registration. A tutorial for this account creation process can be found here. In this tutorial, we have also included the paper registration process for those who prefer to submit their documentation in this manner. It should be noted that a filing fee of $300 will be required of all foreign applicants.

Take a moment to perform a Business Entity Search first before filing to ensure that your current business name hasn’t already been registered or reserved in the state of Oklahoma. This step is less pertinent for those filing online as a name availability check has been incorporated into the registration procedure. If you wish, you may perform a Name Reservation which will secure your chosen name for a total of 60 days and will cost only $10.

How to File a Foreign LLC (Online)

Step 1- Both professional and standard LLC application processes have been examined with this tutorial. If you’d like to create an online account with the Secretary of State website before you get started, you may find this tutorial helpful. Otherwise, begin by navigating to this website, scroll down, and select your entity type from the provided list (shown below).

Step 2- If  you don’t currently have an account with the website, you will need to provide your name and email address before continuing.

Step 3- Here, simply click Start New to indicate that you are beginning a new filing.

Step 4- This page will provide you with the statutes involving your entity type and will display a few special instructions depending on whether you are a standard or professional LLC. Click Next  when you’ve read all the information.

Step 5- The availability of your business name can be researched here. Enter it into the field and click the magnifying glass icon to the right of it. If no results are found, you will be able to proceed by clicking Next.

Step 6- Provide the address of the office required to be maintained in the state of initial organization.

Step 7- Here you will be notified that, in Oklahoma, it is required that all foreign LLCs use the Secretary of State as their registered agent. That being said, you will be permitted to have an additional agent if you wish. Select either Yes or No to this option before continuing.

Step 8- Next, supply the effective date of filing by choosing between the filing date or a specific future date.

Step 9- Here you will notice that the fields have been filled with the information of the office of the Secretary of State. Simply click Next  to proceed.

Step 10- Now you must supply the state or country of your initial organization using the provided drop down menus. Click Next when ready.

Step 11- You’re going to have to enter the foreign formation date in your original jurisdiction.

Step 12- Both professional and standard LLCs will need to upload a certificate of good standing which has been issued within the last 60 days in the jurisdiction of initial organization. Furthermore, professional LLCs will need to provide proper certification from the regulatory board of the profession which is practiced by the business. Once all requisite forms have been supplied, you may click Next  to continue.

Step 13- Click Add Signature, supply the name of the authorized representative, and click Insert Signature.

Step 14- Here you will have the opportunity to review all the information you’ve just submitted in the application before proceeding to the next step. Providing that it all seems accurate, click Continue.

Step 15- Your filing fee and filing type will be displayed here. Click Begin Checkout if you wish to pay for your filing fee immediately and submit your application.

Step 16- To continue, you will need to either sign into your SOS account or click Continue as Guest if you don’t plan on visiting the site regularly. You may also take the opportunity to register for you account, a tutorial for which can be found here.

Step 17- This step only applies to guests of the website. You will need to provide the business name, your name and address as well as your contact information before you will be able to pay the filing fee.

Step 18- You will be able to view the items in your cart before choosing your payment method. For account holders, the option to pay through your subscription will be presented here. Otherwise, all filers will be able to choose between credit card and ACH account as their methods of payment. Once the billing info has been provided, you will be able to proceed to the next page which will have you reviewing the submitted data and officially filing with the Secretary of State.

How to File a Foreign LLC (PDF)

Step 1- Those filing through the mail will have to begin by downloading the Application for Registration.

Step 2- The information required in this form is as follows:

  • 1- Name of LLC
  • 2- State or other jurisdiction of its formation
  • 3- Date company was formed
  • 4- Name and street address of registered agent
  • 6- Address office required to be maintained in the jurisdiction of initial formation or the principle office of LLC
  • 7- Email address of primary contact
  • Signature and printed name of representative
  • Date of completion

Page 3- Once the application has been fully completed, you will need to attach to it a certificate of good standing from the jurisdiction of initial formation that has been issued within 60 days of this filing. Along with the two documents, you will need to attach a filing fee in the form of a check in the amount of $300 which has been made payable to the Oklahoma Secretary of State. Mail all three items to the below address.

Tips

Renewal– It is required that all limited liability companies, both foreign and domestic, renew their businesses by submitting an annual certificate to the Secretary of State. This certificate should be filed on the anniversary month of the company’s initial registration with the state. If a certificate has not been submitted after 60 days of the due date, the company will no longer remain in good standing. Three years without renewal will result in the LLC being dissolved. You may renew online if you wish, the link for which can be found in the heading of this paragraph. There is also the option of submitting the PDF of the filing form in the mail in the same fashion you would for your initial application (address found below). Regardless of how you plan on filing, you must provide the filing fee of $25 along with your certificate in order for it to be accepted.
