Welcome to the Start a Business tutorial dedicated to the prospective incorporator looking to register their business in Oklahoma. You will notice that there are two methods of filing, online and through the downloading of the Certificate of Incorporation, both of which have been detailed in the tutorial below. We usually recommend that, when it is available, filers opt for the online filing method as it will allow them to submit their registration forms to the Business Filing Department immediately after completion. A filing fee of $50 must accompany your forms if you’re forming a profit business and one of $25 will need to be supplied if registering a non-profit organization. Regardless of the nature of your business, our tutorials have you covered.

A Business Entity Search can be a very useful tool as it will allow you to research your name’s availability prior to registration. For online filers, this name availability search has been incorporated into your filing portal already. A name reservation may also be of use if additional time is needed in which to prepare for filing. The reservation will last a total of 60 days and will cost no more than $10.

How to File (Online)

Step 1- When filing online, regardless of your corporate make up, it’s not a bad idea to create an online account with the Secretary of State website. This will allow you to manage your filings going forward with their easy to use portal. An instructional guide on how to register can be found here. This account is not required of you however as you will be able to file as a guest to the website as well. All applicants will need to begin by navigating to this webpage and selecting their entity type from the list found near the bottom of the page.

ok-lp-1Step 2- In the case that you don’t have an online account, and instead you are registering as a guest, you will need to provide your name and email before continuing.

Step 3- Select the Start New button indicating that you are beginning a new filing.

Step 4- This window will indicate the special instructions and the state statutes under which you will be filing. Once you’re confident that you’ve retained the information, you may proceed by clicking Next.

Step 5- The corporate name can be researched for its availability at this point. Simply submit the name into the field and click the magnifying glass on the right of it. If no results present themselves, you will be permitted to continue. Furthermore, churches will need to enter the city in which they are to reside prior to performing the name availability test.

Step 6- This step is only applicable to churches as they will be required to submit their address into the fields before continuing to the next steps.

Step 7- Your corporation’s purpose must be indicated in the next step. The description must be less than 4000 words. When you’ve finished and proof read your paragraph(s), you will be able to advance to the following phase.

Step 8- The effective date can be indicated next. If you would like it to be the filing date, you will be able to skip past this step. Otherwise, specify a date in the provided field.

Step 9- The duration of the corporation should be indicated if it is not to be perpetual. Supply the expiration date or the duration into either of the fields and click Next when ready.

Step 10- Supply the registered agent information in the provided fields including the type, name, office address and contact info.

Step 11- This step will only apply to profit corporations. You will be required to indicate the authorized capital consisting of shares of stock as well as the par value of those shares. Click Add Stock and select the stock type, number of shares, par value and the series (if applicable). Once all stock has been answered for, click Next.

Step 12- Supply the name and address of each incorporator at this point. It is required that non-profit corporations supply a minimum of 3 individuals when filing with the Secretary of State.

Step 13- After the incorporators, you will need to supply the directors/trustees of the corporation. This is not a necessary step for profit corporations, however, non-profit corporations must have at least one individual filling this role.

Step 14- This step applies only to non-profits as you will need to supply the number of directors to be elected at the first meeting.

Step 15- If there are additional attachments which you would like to file with the Business Filing Department, now is the time. Professional corporations will need to provide certification from the licensing board associated with their profession at this point in the form of a PDF uploaded to the website.

Step 16- Enter the signatures of all initial incorporators here before continuing.

Step 17- Read over all the data which you’ve submitted in the previous articles to ensure that it is complete and accurate. Once you’re assured that this is the case, you can click Continue.

Step 18- Your entity type and filing fee price will be shown at this step. If all seems fine, click Begin Checkout to advance.

Step 19- Before you can pay, you need to either sign into your account, register for an account (tutorial found here) or Continue as Guest.

Step 20- If you decided to continue as a guest, you will need to enter your business’s name, your name, your address and your contact information before proceeding.

Step 21- This will finally take you to your shopping cart. You will be able to review your filing, choose your method of payment (ACH account, credit card or pre-paid account) and enter your billing info. Once set, click Add Payment and Continue to review your billing info and officially submit your filing to the Secretary of State.

How to File a Profit Corporation (PDF)

Step 1- In order to file a standard profit corporation, you will first need to download the Certificate of Incorporation.

How to File a Professional Corporation (PDF)

Step 3- Once you’ve completed the form and you’ve had each signatory sign, you will need to mail the finished document, along with the certification from the appropriate professional licensing board, to the Secretary of State’s office (address below). You will also need to attach a filing fee of $50 to pay for the processing. The fee can be paid for by check or money order made out to the Oklahoma Secretary of State.

How to File a Non-Profit Corporation (PDF)

Step 1- You can easily file your non-profit corporation with the Secretary of State by downloading this form.

Step 2- In this document, you will be required to supply the following data:

Step 3- Mail the completed form the office of the Secretary of State for processing along with a filing fee of $25. This fee should be made out in the form of a check made payable to the Oklahoma Secretary of State. The below address should be used when sending the filing through the mail.

Tips

EIN – Once you’ve finished filing with the Secretary of State, it will be necessary for you to apply for an Employer Identification Number. This identifier can then be used to open bank accounts, hire employees, apply for loans and otherwise transact business as a legitimate entity. You will be able to obtain an EIN quite easily by navigating to the Internal Revenue Service website and applying Online. Another option is to apply through the mail with the PDF Form SS-4. Corporate Bylaw– A set of corporate bylaws can greatly improve the over all management of your internal affairs. Within the document will be all rules and regulations regarding the manner in which the directors, officers and share holders are required to act. This docuement is not a legally mandatory agreement in the State of Oklahoma and for this reason you will not need to file a copy with the Secretary of State. Renewal–  Corporations are not required to file an annual certificate or annual report with the Secretary of State in order to renew. These reports are only mandatory for limited liability companies and limited partnerships. Instead, corporations will be filing a franchise tax return, which must be submitted to the Oklahoma Tax Commission by the 1st of July of each year. The filing fees will be identical to that of the initial formation, $50 for profit entities, $25 for non-profit.
