Welcome to the online guide to the registration process for partnerships in the state of Ohio. The filing for general, limited and limited liability partnerships have been covered in great detail below as we’ve reviewed both the online and the paper filing processes. For all those who are less technologically inclined and for the foreign filers among you, we’ve incorporated all requisite PDFs demanded by the Secretary of State. Once completed, you will be able to send them by mail to the government offices with the attached filing fee of $99 made payable by check or money order. Online filers will be asked to pay the same fee only their submission will be contributed via credit card.

It is required that all businesses in Ohio operate under a name that is distinguishable from all reserved and registered entities. For this reason, it is never a bad idea to perform a Business Entity Search prior to filing. If you are submitting your filing forms online as an LP or LLP, you will be able perform such a search as one of the first steps in your registration process. A Name Reservation may also prove useful, enabling you to prepare for filing for a period of 6 months without the worry of another business registering using your company name.

How to File a Domestic GP (Online)

It is not required that you file your general partnership, however there are steps online and through PDF that allow you to do so. So for those who would still wish to register, the process has been relayed below.

Step 1- It is necessary that, in order to file online, you have an online account with the Secretary of State’s online portal. A registration guide for this can be found here. Once your account has been created, or if you have already prepared yourself with one, you can navigate to this webpage and enter in your login credentials.

Step 2- In the center of your homepage, you will be presented with these four options. Click on the blue square in the top left to create a new business.

Step 3- Find the formation documents for a general partnership in the drop-down menu, and, once selected, you may click Continue to advance.

Step 4- The first information they will ask of you is the name of the partnership.

Step 5- Next, you will be able to submit the address of the chief executive office. Click Continue to proceed.

Step 6- This is the point at which you will be adding partners. Submit the name and address of the first partner then click Add Partner. This will save your submission. Repeat this process until all partners have been added. You may enter the information agent’s name below as an alternative route.

Step 7- As explained above, the registered agent’s information will need to be supplied next. Indicate their name, address and email, then have the agent submit their name into the below field to continue.

Step 8- This step is optional as you may add authorization for each individual authorized to execute an instrument transferring real property and authorized to enter into transactions on behalf of the partnership. At the third window, you may insert any other matter to be included in the statement of authority.

Step 9- If you wish to add attachments relaying additional provisions, you may do so at this juncture. Otherwise, click the No Attachments Needed, Continue link.

Step 10- This filing will need to be submitted by an authorized representative. Therefore, you will need to provide the individual or business name, and, if the latter is the case, the applicant representing the business. When ready, click Save and Continue.

Step 11- Here you will be able to review all information submitted. Of course the data relayed in the below example is solely for the purposes of this tutorial. If all looks to be in order, you can click the Save and Preview  link. Be sure to have your pop-up blocker disabled for this step.

Step 12- A window should appear of the preview of the statement. At the very bottom you will be able to see an option to both edit the document and verify it. To finish the filing, you will want to choose to verify.

Step 13- You will be able to, at this point, add your filing to check out by clicking on the check box in the far left hand column next to your filing.

Step 14- To check out and pay for your filing, thus submitting it to the Secretary of State, you will need to provide your credit card details and your billing information into the fields on this page, officially pay and review the information on the second, and submit the document in the third step. How to File a Domestic LP (Online)

Step 1- You will be required to have an online account with the Secretary of State website in order to officially file online. An account registration tutorial has been created here for your convenience. Once your account has been created, you may proceed by entering in your login credentials on this webpage.

Step 2- You will be presented with your homepage, on which you will see the option to file a new business in the four options shown in the middle of your screen.

Step 3- In the drop-down menu on this page, you should be able to locate the domestic limited partnership option. Select this one and click Continue to advance to the next step.

Step 4- You will be able to investigate the availability of your proposed business name through this preliminary search. Provide the name in the search bar and click Search. If no results were found, there is a good chance that the partnership name will be accepted by the Secretary of State.

Step 5- The first article will ask that you submit the name of the company, the effective date and the principle office address.

Step 6- Secondly, you will need to appoint your agent by providing the name, address and email address. At the bottom, you will want to ask them to enter their name, confirming acceptance of appointment.

Step 7- If you so wish, you may add attachments relaying any other provision at this point.

Step 8- Here is where you will be able to list all general partners by submitting each individual/entity name and address before clicking Add Partner. When each member has been submitted, click Save and Continue.

Step 9- This page will have you review all information submitted in the previous steps. When ready, click Save and Preview, ensuring that your pop-up blocker has been disabled as you make this selection.

Step 10- In the pop-up that emerges, you will see the preview of the Certificate of Limited Partnership. At the bottom of the window, there will be the option to verify the document. You’re going to want to click on this in order to advance to the next step in filing.

Step 11- You may delete, preview or edit your filing at this point, or, if you wish to check out, you will be able to check the box at the far left hand side of the window and click Add Selected Filing(s) to Check Out.

Step 12- Here, you will be able to submit your billing and credit card information then click Confirm and Proceed. The following two pages will have you officially paying and submitting your document to the Secretary of State for review.

How to File Domestic LLP (Online)

Step 1- In order to properly file online, it is necessary that you’ve created an account with the Ohio Business Central portal. A tutorial for account set-up can be found here. Once created, you will be able to log on to your account on this webpage by entering your login credentials into the provided fields.

Step 2- The secondary step is to click on the File a New Business or Register a Name on your personal homepage.

Step 3- You will now be able to select the type of filing you’d like to commit to. In our case, this is the formation of a domestic limited liability partnership.

Step 4- A name search will take place next, allowing you to investigate the availability of your proposed business name. If no results appear once the search has been completed, it is likely that the name is available in the state of Ohio.

Step 5- The first step is to enter the name of the company as well as the effective date of filing. You may leave the second field blank if the filing is to be effective immediately.

Step 6- You will be able to add the chief executive office address here. Click Save and Continue once completed.

Step 7- If you’d like to add any attachments in PDF format, you may do so at this point. This will allow you to relay any additional provisions which comply with the Ohio State Code. They will be uploaded as part of your official filing and viewable on the online public database.

Step 8- You will need to authorize this filing by providing the name of the individual or entity acting as the representative. If it is a business entity, you will need to supply the name of the applicant acting as authorized representative of said business.

Step 9- Review your filing at this juncture to ensure that all information was submitted correctly. You will be able to edit any information if you wish. To continue, disable your pop-up blocker and click Save and Preview.

Step 10- The window that presents itself will be a preview of the official certificate presented by the Secretary of State. You will need to click Verify This Document to continue with the filing process. This link can be found at the bottom of the last page.

Step 11- Click on the check box on the far left hand side, then select the Add Selected Filing(s) to Check Out link.

Step 12- This page will allow you to enter your credit card information and billing data to pay the $99 filing fee. Once all info has been provided, you will be able to proceed to the next two steps, effectively paying the fee and officially submitting the document to the state’s offices for review.

How to File a Domestic/Foreign GP (PDF)

It should be noted that you are not required to file with the Secretary of State to form a general partnership. However, there has been forms for the Statement of Authority that will allow you to do so if you wish. We’ve relayed all the instructions for the paper filing below.

Step 1- The begin your filing, download the Statement of Authority for general partnerships and open it up in your PDF viewer.

Step 2- The first page of the filing bundle is a simple cover letter providing the name, address and contact information of the individual/entity to receive correspondence from the Secretary of State. Here you will also be able to indicate if you’d like to receive notices via email, if you’d like to sign up for the Filing Notification System, and if you’d like to expedite your filing.

Step 4- Attach to the filing, the fee of $99 in the form of a check or money order made out to the Secretary of State. You may send the filing package then to the below address for processing by the office of the Secretary of State. How to File a Domestic LLP (PDF)

How to File a Foreign LP (PDF)

Step 1- The document needed to file for a foreign limited partnership is the Certificate of Limited Partnership.

How to File a Foreign LLP (PDF)

Step 1- To get started, you’re going to need to download the Statement of Foreign Qualification.

Step 2- Once opened in your PDF viewer of choice, you will notice that the first page is a simple cover letter. On it you will need to supply the name and address of the individual or business to which the approval can be sent. You will have the option to receive notices by e-mail, sign up for the filing notification system, and expedite the process on this page as well. Note that expedition of the filing will cost a hefty fee.

Step 4- Provide now, the filing fee in the form of a check or money order made out to the Secretary of State. This must equate to a total of $99 unless you plan on expediting your filing. If this is the case, you will either be charged $100$200, or $300 depending on the level of expedition. Tips

EIN– Once your business has been accepted by the Secretary of State, you will be required to apply for an Employer Identification Number from the Internal Revenue Service. This is of course only necessary if you are forming a new, domestic entity. You will be able to, with the use of this number, apply for loans, open bank accounts, hire employees, and otherwise transact business while using the company name. Partnership Agreement– Although a binding agreement amongst company officials is not a required document for any business entity in Ohio, it is always recommended that one be drafted to properly outline the manner in which your partnership’s internal affairs are to be organized. As the initial formation documents are often limited to just a few pieces of data, this document will allow you to relay all provisions not already stated to provide proof in the case of a future legal dispute between the state and the entity, or members within the business. Renewal– Although there is no need to file an annual report for any business entity in Ohio, limited liability partnerships will still be expected to update the Secretary of State with an biennial report. You will be required to file between the 1st of April and the 1st of July through the submission of this PDF and the filing fee of $25. The information that they ask is extremely limited and will not equate to more than what was already given in the initial Statement of Qualification. All reports can be submitted to the below address, or the secondary address (if you wish to expedite the filing).
