This tutorial has been designed to help foreign applicants file their documentation with the Ohio Secretary of State in order to effectively transact business. In this jurisdiction, the corporate filing for foreign entities is called the Foreign Corporation Application for License and it must be submitted with a certificate of good standing from the state/country of initial incorporation. At this point in time, there is no online filing method for those submitting foreign applications, and instead, you will be required to download the requisite PDF for your entity type, supply the information into its fields then send the completed document to the office of the Secretary of State with the accompanying filing fee of $99.

Before we begin, a Business Entity Search should be performed to ensure that your current corporate name isn’t already registered in Ohio. If this is the case, you will need to operate with the use of a fictitious name for the duration of your term in this state. A Name Reservation filing may prove useful as it will last for a period of 180 days prior to registration and cost a total of $39.
