On this webpage we will go through all the steps required in the registration process for your new domestic LLC or PSLLC in the state of New York. An online filing portal is available, though with PSLLCs this option does not exist. The filing fee for both entity types is $200, along with a publication fee of $50. Something to note about starting an LLC or PSLLC in New York is that after filing your registration documents, you will need to publish said document is two newspapers. One newspaper must be “printed daily” and the other “printed weekly”, for six consecutive weeks. You will find more information on that within each specific entity tutorial.

How to File a Domestic LLC (PDF)

Step 1- When creating your domestic LLC, the first step is to obtain the Articles of Organization document.

Step 2- Next, we will go through each segment of this document in more detail. The information required is as follows:

  • Entity name
  • Entity name
  • County of desired jurisdiction
  • Address to receive statements from the Department of State
  • Signature and printed name of organizer
  • Entity name (page 2)

Step 3- After the document has been filled, a filing fee of $200 must be made out to the Department of State in the form of a check or Credit/Debit Card Authorization. Have the Articles of Organization and the fee both mailed to the address located at the bottom of this tutorial. If you have reserved a name for your entity, be sure to include your receipt along with your filings.

Step 4- Once your filing has been completed, you will be required by the state to have your Articles of Organization (or a similar notice of qualification) published in two newspapers within the county where the LLC’s office is located. The newspapers will then each send you an affidavit of publication. This must be done within 120 days of filing for your LLC.

Step 5- With your received affidavits, the next step moving forward is to download the Certificate of Publication form.

Step 6- Looking at the steps below, the required information is as follows:

How to File Domestic LLC (Online)

Step 1- The online filing process is fairly straight forward and can be completed with the tutorial we have provided. To begin, click on the link located here.

Step 2- You will be taken to a page containing an entry field where you must enter the name of your desired entity name. Note that your name must end in LLC. For purposes of this tutorial we will be using the fictitious LLC “John Smith LLC”. Once your name has been entered, click on the yellow continue button.

Start with the opening statement specifying that an individual is filing (if applicable). Then enter the desired entity name. Lastly, if you would like to include your statement of purpose on the Articles of Organization currently being filed, you may do so here.

Step 4- Next you must decide which jurisdiction your entity will be located in. Click on the Select One tab and choose the location. In the next entry field you will have to supply your service of process information. If you are using a service of process company, select that as an option, then choose your company by clicking the Select Service Company button. In the last section you have the option to enter your registered agent information.

Step 5- Here we can specify the desired management structure followed by the date your LLC wishes to commence. Lastly, if you are aware of the date of dissolution you may enter that information at the bottom. All of this information is optional to enter.

Step 6- The first section gives you the option to create a liability statement between members of the entity. Next, enter the information of the organizer followed by the name and position of the individual filing. Lastly, once again the filer must state his/her name and this time their address as well. Finish by clicking the yellow Continue button on the bottom right (not shown in this picture)

Step 7- On the next page you will see a review of all the previous information given. Once you have checked everything over, click to Continue on the bottom right.

Step 8- On this page we have the last few steps towards completing your filing process. Optionally you can enter you Federal Employee Identification Number in the first available entry field followed by the type of additional services if any. You are then shown the filing fee required, being $200. To pay for this fee you must enter your credit card information and a statement saying that you have agreed to be charged by credit card. Lastly, enter your email address into the entry field provided. Finish your application by clicking the File Document button on the bottom right.

How to File a Domestic Professional Service LLC (PDF)

Step 1- The filing of a PSLLC is quite similar to that of a standard LLC. The first thing you will need to do is download the Articles of Organization document.

Step 4- Once you have received your Certificate of Authority, the next step in your filing process is to have a fee of $200 made out to the Department of State and have all files mailed to the address located at the end of this tutorial. Accepted forms of payment include Credit/Debit Card Authorization or written check. If a name has been reserved for your entity, be sure to include the receipt received along with your Articles of Organization.

Step 5- Within 120 days of filing, you will be required to publish your Articles of Organization (or similar qualification) in two newspapers located in the county to where your PSLLC’s office resides. The newspapers will each give you an affidavit of publication.

Step 6- After receiving your affidavits from each newspaper, you will need to file for a Certificate of Publication. Have this document printed off and continue with the steps below

Tips

EIN– The Employer Identification Number is a unique nine-digit code given to you by the IRS to identify your business. Having this type of identification is required if you plan on paying withheld taxes on your employees. When finishing your application for a domestic LLC, it would be wise to apply for an EIN as soon as possible. Doing so will allow you to conduct business lawfully within the United States, allowing you to do a number of business transactions all within the entity name. Operating Agreement– It is highly recommended that LLC representatives draft an operating agreement between the managers and members of the newly formed entity. What this will do is allow you to create a set of rules and regulation to set in place. It covers day-to-day operations regarding members roles and responsibilities, and a number of other things that you may find useful. Renewal– Your LLC must be renewed every two years with the state to remain in good standing. To do this the Department of State has supplied an online filing portal called the e-statement Filing Service. Using this service requires you to know the DOS ID number of your entity. Finding this can be done by searching for your business using the Business Entity Search function that we have provided. Once your DOS ID number is found, enter that along with the name of your entity in the entry fields given. A filing fee will be asked of you in the amount of $9 that can be payed by credit or debit card.
