This page will provide you with the required steps in registering your pre-existing corporation within the state of New York. To file, you will be required to download all the necessary applications, submit the information asked of you, then mail the documents back to the Department of State with the appropriate filing fee. If your corporation has been conducting business within the state prior to filing, you will be required to get consent from the New York State Tax Commission (518) 485-2639 before filing with the Department of State. For information on that and more, scroll down to your desired entity type and get started with your new corporation!

Something that we recommend filers do before moving forward is perform a Business Entity Search to verify that their chosen business name has not already been taken by another entity. If the name you are attempting to do business under is already in use then your application will be rejected. You may also reserve a name for up to 60 days prior to filing, for more information on that click the link here.

Tips

Renewal– Most corporations will have to file for renewal every two years on the calendar month when the Application for Authority was initially accepted by the state. Not renewing can prohibit your entity from performing certain tasks and is necessary for all entity types. This can be done with the Department of State’s e-Statement Filing Service. Be sure to have your DOS ID number ready (this can be obtained by doing a Business Entity Search for your corporation). A $filing fee will need to be paid with a credit or debit card. Professional service companies will have to renew with the Education Department, more details on that here.
