The Uniform Limited Partnership Act, which can be found in NRS (Nevada Revised Statutes) 87A, and NRS 88, governs partnership law in the state of Nevada. Nevada does not provide a way to register a partnership online, so you must download the appropriate forms and send them to the Nevada Secretary of State. Registration fees for LPs and LLPs are $75 each while LLLPs cost $100.

We here at Start a Business recommend that a preliminary check be performed prior to registration to ensure the availability of the desired business name. A name may also be reserved for 90 days by filing a Name Reservation application ($25).

How to File a Domestic LP

Step 1- Begin by downloading the PDF file below that is associated with your business type.

EIN– When forming a new domestic partnership, it will be necessary to apply for an Employer Identification Number as soon as your registration application has been approved by the Secretary of State. This identifier is issued to all entities and individuals that will be paying withheld taxes on their employees. Without an EIN, your partnership will be unable to apply for loans, register for bank accounts, or perform a number of other transactions. Partnership Agreement– It is highly advisable, though not legally required, for representatives of partnerships to draft an agreement to help fortify the organizational structure of their internal affairs. Renewal– The Nevada Secretary of State requires all partnerships to submit a renewal application each year in order to remain in good standing. These reports must be submitted on or before the last day of the month in which the partnership was formed. This process will allow you to notify the state with any changes to the business that may have occurred in the previous year. With the use of an account, annual reports may be submitted online through the state’s streamlined portal. It is also possible to file through the mail by sending a letter to the address below that contains the details listed in 87.51087A.290 or 88.395 (depending on your entity type). This process will require a filing fee of $150.
