This webpage has been created to provide foreign business filers with all necessary information needed to register a limited liability company in Nevada. All applications will be sent to the Secretary of State through the mail as the online filing portal is unavailable for this type of registration. First, you will need to complete a PDF application, print it off and sign it, then forward it to the state authorities with the $75 filing fee attached. Accepted forms of payment include check or money order made out to the Secretary of State as well as credit card.

We highly recommend that prior to registration, a Business Entity Search be performed to check the availability of the proposed operating name. Furthermore, it is possible to reserve a name in Nevada by filing a Name Reservation application. Through this process, the rights to a name can be secured for a period of 90 days. Reservation in this state cost $25.

How to File

Step 1- To begin, you will need to download the PDF form.

Step 2- You will then be able to submit the following information:

  • 1-Name of the LLC and whether or not it is a series LLC
  • 2-Name to be registered in Nevada
  • 3-Initial date of formation, jurisdiction of formation and whether or not the entity is in good standing
  • 4-Registered agent details
  • 5-The address of the office where records are kept
  • 6-Address of the principal office
  • 7-Name and address of each manager or member
  • 8-Name and signature of a manager or member
  • 9-Registered agent’s signature and the date signed

Step 3- Once the application has been successfully completed, you will need to download the Customer Order Instructions; a document used to indicate your method of payment for the filing fee. The information required on this form is as follows:

  • Type of processing requested
  • Name of the entity
  • Date
  • Return address
  • Contact name
  • Phone number
  • Return delivery instructions
  • Total filing fee
  • Method of payment

Step 4- Before submitting your registration documents, a fee of $75 will need to be attached to cover the cost of filing. Payment by check or money order must be made out to the Secretary of State. Those paying by credit card will need to include the E-Payment Checklist. Gather all items and forward them to the address below.

Tips

Renewal– Each limited liability company in Nevada will be required to renew their registration each year with the Secretary of State by submitting an annual report. Through this process, not only will you be able to maintain a good business status, but you can also update the state with any major changes that may have occurred over the past year. Filing online is possible using the state’s streamlined portal, though an online account will be required for this filing method. You may also send your renewal through the mail by forwarding a letter to the Secretary of State (address below) containing the information described in 86.263 of the Nevada Revised Statutes and Administrative Codes. Regardless of how you choose to renew, a $150 filing fee will be required.
