This webpage has been created to guide business representatives through the registration process for domestic limited liability companies in Nevada. All necessary information and instruction can be found within our tutorials which will take you step-by-step through the filing procedures demanded by the Secretary of State. A streamlined portal has been created for the online submission of registration documents. We have also provided PDF applications for anyone who’d like to file through the mail. A fee of $75 must also be supplied when filing, payable by check/money order or credit card depending on your filing method.

We recommend that a Business Entity Search be performed prior to registration to ensure the availability of the desired operating name. If additional time is required to prepare for filing, a Name Reservation can be made to secure the rights to a business name. Through this process, a name can be reserved for a period of 90 days ($25).

How to File (Online)

Step 1- Start by navigating to this website where you’ll be able to successfully log into your online account. If an account hasn’t yet been created, a tutorial on this procedure can be found here.

Step 2- After logging in, click here to access the online filing portal. Select Yes to indicate your intention to start a new business and select the type of entity you’d like to form.

Step 3- Here, let the Secretary of State know whether or not the business is located in Nevada or conducts sales/services in Nevada by selecting Yes or No.

Step 4- Simply click the green Start  button to proceed to the following page.

Step 5- Continue by entering the business name into the first available entry field and select an entity suffix. You may also specify whether or not the corporation will have a series or be restricted.

Step 6- Verify that the name supplied in the previous step was entered correctly by clicking This is Correct.

Enter a name into the search bar and click Search to receive a list of registered agents. Scroll through the results until you’ve found the name your looking for. Alternatively, you may click Add Registered Agent to supply the agent’s information manually.

Step 8- Specify as to whether or not the individual submitting this application is the registered agent by selecting Yes or No.

Step 9- On the next page, choose one of the available options to let the Secretary of State know whether the company will be vested in managers or members.

Step 10- This step will take you through the process of providing the names and addresses of each manager. Begin by clicking Add New Manager then specify as to whether the manager is a person or a business. Continue by entering a name and address before clicking Save. Repeat this process until each manager has been defined.

Step 11- The following step is similar to the last, though instead of describing the managers, you will need to provide the names and addresses of each organizer. Begin by clicking Add New Organizer. Specify as to whether the organizer is an individual or a business and enter a name and address. Click Save and repeat this process until each organizer has been described.

Step 12- Optional provisions may be provided on the following page. Click Choose File and select an item from your computer containing the provisions you’d like to include.

Step 13- On this page you may file an initial list of officers. These officers will be either the managers or members provided in Step 10.

Step 14- Check each box highlighted in red to agree to the terms and conditions described on this page and enter your name and business title to provide a virtual signature for this application.

Step 15- All of the information you’ve supplied so far will be reviewable on the following page. Verify that the details have been entered correctly before proceeding.

Step 16- Now that all of the requisite filing information has been supplied, you may proceed to the payment portion of this procedure by clicking Checkout Now.

Step 17- A desription of the filing fee will be displayed on the following page ($75). Click Proceed to Checkout to continue.

Step 18- On this final page, your credit card information will need to be supplied to pay for the filing fee. Enter your name, card number and its security code, your billing information and the expiration date of the card. The following page will have you reviewing your order before officially submitting it to the office of the Secretary of State.

How to File (PDF)

Step 1- The filing process begins by downloading the Articles of Organization.

Step 2- Once open, provide the following information:

  • 1-Name of the LLC
  • 2-Registered agent details
  • 3-Date of dissolution
  • 4-Specify whether the company will be vested in managers or members
  • 5-Name and address of each manager or member
  • 6-Effective date and time
  • 7-Name, address and signature of organizer
  • 8-Registered agent’s signature and the date signed

Step 3- After completing the PDF, you will need to download the Customer Order Instructions; a document used to indicate your method of payment for the filing fee. Once downloaded, supply the following information:

How to File a Professional LLC (PDF)

Step 1- To begin, you will need to download the PDF application.

Step 2- The information required on this document is as follows:

  • 4-Whether or not the company will be vested in managers or members
  • 5-Profession to be practiced

Tips

EIN– Many limited liability companies in Nevada will be required to apply for an Employer Identification Number as soon as confirmation of registration has been received from the Secretary of State. This number is used by the Internal Revenue Service to keep track of all entities that pay withheld taxes on their employees. One an EIN has been acquired, your business will be eligible to apply for loans, register for bank accounts, hire employees, and perform a number of other transactions. Operating Agreement– While there is no legal obligation to draft an operating agreement in Nevada, many business representatives choose to incorporate one into their business structure. This document can be used to define the manner in which the members of the entity must operate. Each relevant party will need to read and agree to the provisions described within its contents which will provide you with proof that each manager and member has an understanding of their expected role. Renewal– Each limited liability company in Nevada will be required to submit an annual report with the Secretary of State in order to remain in good standing. These reports will be filed on or before the last day of the anniversary month of formation. Through this process, you will be able to update the state with any major structural changes that may have transpired over the previous year. Filing can be done online using a Nevada online account or through the mail. Filing through the mail will require you to send a letter to the address below containing the details described in 86.263 of the Nevada Revised Statutes and Administrative Codes. A fee of $150 will be required upon submission of all annual reports.
