Submitting your registration documents through the state’s online portal can be accomplished with the use of an account. Filers may also register through the mail by completing a PDF application and forwarding it to the Secretary of State with the filing fee attached. Filing fees in this state cost $50 for non-profit corporations and $75 for profit corporations (additional fees added based on the total number of authorized shares).

It is highly recommended, though not legally required, that filers perform a Business Entity Search prior to registration to check the availability of their proposed operating name. Furthermore, it is possible to reserve a business name if additional time is required to prepare for registration. For $25, a name can be reserved for 90 days.

How to File a Profit Corporation (Online)

Step 1- To begin, you will need to log into your online account. If an account has yet to be created, a tutorial on this procedure can be found here.

Step 2- Once you’ve accessed your account, continue by navigating to this website. From there, select Yes to indicate your intention to start a new business in Nevada and choose a business type from the available options.

Step 3- On this page, select Yes or No to let the Secretary of State know whether or not the corporation has a location in Nevada or has conducted sales/services in Nevada.

Step 4- Here you must simply click the green Start button to proceed.

Step 5- Enter the name of the corporation into the first entry field and specify the entity suffix as well as whether or not the business is a benefit corporation.

Step 6- Verify that the business name you’ve supplied was entered correctly by clicking This is Correct.

Step 7- The name and address of the registered agent will need to be provided on the following page. Begin by entering a name into the entry field and click Search. Scroll through the results until you’ve found the agent your looking for and click on the name. Alternatively, you may click Add Registered Agent to manually input the name and address of the registered agent.

Step 8- Verify that the registered agent information was provided correctly and specify whether or not the individual submitting this application is the registered agent by selecting Yes or No.

Step 10- The images below show the method used to provide the names and addresses of the directors and trustees. Begin by clicking Add a new Director/Trustee and enter his/her details into the available entry fields. Repeat this process until all members have been provided.

Step 11- The images below show the method used to provide the names and addresses of each incorporator. Start by clicking Add a new Incorporator and enter a name and address into the available fields. Repeat this process until each incorporator has been described. Finish this step by checking the small box to agree to the terms and conditions.

Step 12- You may add additional documents with your registration by clicking Choose File and selecting an item from your computer.

Step 13- On this page, you may optionally provide an initial list of officers. While this step is mandatory, it cannot be completed until you’ve obtained a CIK number. For the time being, click Skip Initial List.

Step 14- Here you will need to check each box highlighted in red and specify your business title. Lastly, enter your name to provide a virtual signature.

Step 15- This page will provide you with a review of all the information submitted thus far. Verify that the information was entered correctly before proceeding.

Step 17- A description of the filing fee will be displayed on the following page. This fee will be a minimum of $75 + additional fees based on the total amount of authorized shares. Click Proceed to Checkout to continue.

Step 19- Lastly, you will need to provide your credit card details. Begin by entering your name, the card number and its security code, your billing address and the expiration date for the credit card. The following page will have you reviewing your order before officially submitting it to the office of the Secretary of State.

How to File a Non-Profit Corporation (PDF)

EIN– All newly formed corporations will be required to apply for an Employer Identification Number as soon as acceptance of formation has been received from the Secretary of State. The Internal Revenue Service uses this unique identifier to keep track of all legitimate, tax-withholding entities in the country. Once an EIN has been successfully acquired, you will be eligible to hire employees, apply for loans, register for bank accounts, and perform a number of other financial transactions. Renewal– Each corporation in Nevada will be required to renew their registration each year with the Secretary of State by submitting an annual report. This process will let the state know of any changes that may have occurred over the previous year. Filing is simple and can be done online using a Nevada online account. Alternatively, you may file through the mail by sending a letter to the Secretary of State (address below) containing the information specified in 78.150 of the Nevada Revised Statutes and Administrative Codes. Renewals for non-profit corporations will cost $50 while profit corporations must pay a minimum of $150 + additional fees based on the total number of authorized shares.
