This webpage has been created for those experiencing confusion when attempting to purchase a Certificate of Good Standing for a corporation/LLC or a Certificate of Existence for a partnership. This type of certification is designed to serve as proof of legitimacy when registering with foreign entities or requesting large business loans. It simply states that you are up-to-date with all necessary filings and forms in the jurisdiction of initial formation. This process will require filers to pay a fee in order to complete their request. Partnerships and profit corporations will need to provide $50, LLCs will pay $25 and non-profit corporations need only supply a $10 fee.
How to Request a Corporate/LLC Certificate (Online)
Step 1- Filers must first navigate to this website and log into their online account with the Corporations and Business Services. If you have yet to create an account, click here to review our tutorial on that procedure.
Step 2- In the dashboard at the top row of the page you will see the Corporations heading. Move your cursor over the heading and select the Certificate of Good Standing link.
Step 3- This next page simply states that you must have a PDF viewer installed on your computer. If you don’t have one installed, they have provided a link through which you can download one. Click Continue when you are ready to proceed.
Step 4- Enter your entity name into the search bar on the left, or provide your business ID # into the search bar on the right and click Search Entities.
Step 5- A list will be displayed containing each entity that matches the metrics of your inquiry. Scroll through the results until you’ve landed on your business and click the button on the far right under the Select heading. Once selected, click Continue to proceed.
Step 6- On this page you will need to select the certificate type using the drop down menu, provide the requester information and specify the number of copies requested. When you are ready to proceed click Continue.
Step 7- A review of the filing fee will be displayed on the following page. If all information seems accurate, proceed to the next page.
Step 8- Here you can specify your method of payment (eCheck, credit card or pre-paid account). Submit your payment information on this page and on the next you can officially submit your request. Once this process has been completed you will be able to obtain your certificate.
How to Request a Partnership Certificate (Online)
Step 1- Instead of a certificate of good standing, the Secretary of State has made it possible for partnerships to purchase a Certificate of Existence. In order to achieve this, filers will need to first have created an online account with Corporations and Business Services on the Secretary of State website (tutorial found here). Log into your account on this webpage to continue.
Step 2- In your dashboard, along the top row, you will be able to click on the Partnerships drop down menu and click on the option to obtain a certificate of existence.
Step 3- The first step is just ensuring that you have a PDF viewer installed on your computer. If not, they’ve provided a link through which you can download one. Click Continue if this is not an issue.
Step 4- You can search for your entity by name or registration number. When entered, a list of entities will present itself and you may select yours before continuing.
Step 5- The next window will have you submitting the requestor’s name and email address as well as the number of copies you desire. Click Continue once this has been achieved.
Step 6- The transaction summary will be shown on this page. If all information seems accurate, you may proceed to the payment page.
Step 7- Here you may pay by eCheck, credit card or through a pre-paid account with the Secretary of State website. Submit your payment information on this page and on the next page officially submit your filing. You will be able to obtain your certificate once this has been completed.
How to Request a Corporate/LLC Certificate (PDF)
Step 1- You can also request corporate documents by submitting your filing through the mail. First download the Request for Good Standing and Status Certificates PDF.
Step 2- Once downloaded and open in the PDF viewer of your choosing, you will be able to select the type of certificate you’d like to purchase before submitting the following information:
Exact entity name
- Entity number
- Full address
- Email address
- Check #, date and amount
Step 3- When you’ve finished submitting the requisite information, you will need to make a check or money order payable to the New Mexico Secretary of State covering the filing fees for your entity type (corporations-$50, non-profits-$10, LLC-$25). Mail both items to the below address to officially request your certificate.
