This webpage has been created to assist those who are looking to start a domestic corporation in New Jersey. An online system is available in which filers can submit their registration documents. You may also apply through the mail by sending your application to the Division of Revenue. Each registration process will require you to include a filing fee along with your application. Both profit and professional service corporations must pay $125 while non-profits need only pay $75.
We recommend that all new corporations perform a Business Entity Search to see whether or not the name they have chosen to operate under is available. For those applying online, this can be accomplished during the application process and the results will be given immediately. You may also reserve a name for up to 120 days prior to filing by submitting the Application for Name Reservation.
How to File a Profit or Professional Service Corporation (Online)
Step 1- Begin by navigating to this website and selecting the type of business you would like to form followed by entering the desired entity name. The next page will allow you to choose a business designator. Once chosen, click the Continue button to move forward.
Step 2- Optionally you may enter your EIN and NAICS code in the first two entry fields available. You will then be required to enter the intended duration of business, effective date of incorporation and the total number of shares. Click Continue to proceed.
Step 3- The following page will require you to specify a purpose for your business. You may enter your purpose manually in the entry field provided or upload a file containing a pre-existing document that you have drafted. Proceed by clicking the Continue button.
Step 4- On the next page you will see entry fields where you must submit the main address of your business. Proceed by clicking Continue.
Step 5- Enter the registered agent information by clicking the Enter a Registered Agent/Office link. Optionally, you may enter the registered agent number (if applicable). Press Continue to proceed.
Step 6- Here you may enter the registered agent details. Proceed by clicking Continue.
Step 7- The board of directors information must now be submitted. Start by clicking the Add new Director button and submit at the at least one director’s personal information. Continue by clicking the Save button. The details will be presented to you, allowing you to now either add more directors or proceed by clicking Continue. If you are filing for a professional service corporation, there will be a statement that you must agree to cooperate with. This statement simply says that one of the shareholding directors must legally be allowed to provide professional service in New Jersey. To agree to this, click the small box beside the statement.
Step 8- The following page will ask you to specify the incorporators of your business. Start by clicking the Add New Incorporators button. A page will then be presented which will allow you to enter the incorporator’s details. Click the Save button once finished. The details will be displayed and you can either add more incorporators or proceed by clicking Continue.
Step 9- In this section of the filing process you will be presented with the option to enter specific share information. You may also provide a statement of authority regarding the aforementioned shares. If you would like to add additional provisions, you may do so by clicking the Add New Provision button. Proceed by clicking Continue.
Step 10- The next page asks you to simply click the small box beside Click here for signature for the above name. This step is virtually the equivalent of handwriting your signature. Proceed by clicking Continue.
Step 11- This page will allow you to review all the details you have previously entered. Click the arrows on the right hand side to view any desired information. Proceed by clicking Continue.
Step 12- Within the following page you are able to select additional documents that you would like to include with your filing. Continue by submitting your contact information in the three entry fields provided. Towards the bottom of this page you will see details regarding the fee that you will be required to supply. Once you are ready to move forward, click the Continue button.
Step 13- Select your method of payment by choosing one of the options in the drop-down menu. Once a payment method has been chosen, continue by clicking the Next button. You will then be required to submit the personal information of the individual applying. Once entered, proceed by clicking Next.
Step 14- Lastly, enter your credit or e-check information. Click Next to finish submitting your payment and conclude this tutorial.
How to File a Non-Profit Corporation (Online)
Step 1- Start by navigating to this website and select Domestic Non-Profit Corporation from the drop-down menu. In the entry field just below, submit the desired entity name you would like to use for you business. Click Continue to proceed. The following page will require you to select a business designator. Once selected, click Continue to move forward.
Step 2- You can now enter your EIN and NAICS code (optional), followed by the intended duration of business, effective date of incorporation and total number of shares. Click Continue to proceed.
Step 3- A business purpose must be specified on the following page. You may enter this information in the entry field provided. If you would like to upload a document containing a pre-existing business purpose, click on the Upload button to do so. Press Continue to move forward.
Step 4- Here you must submit the main address for your business. Once the information has been entered, click the Continue button to proceed.
Step 5- To enter the registered agent information, click on the link titled Enter a Registered Agent/Office. If you are already aware of the registered agent number, you may enter it in the entry field just below. Click Continue to move forward.
Step 6- The next page will ask you to enter the registered agent’s name and business information. Once submitted, click Continue.
Step 7- You will then be required to add at least three trustees. To start, click the Add New Trustee button. The trustee’s names and addresses must then be submitted. Click the Save button to proceed. After your trustees have been added, click Continue to move forward.
Step 8- The incorporators of your business must be specified on the following page. To add incorporators, click the Add New Incorporators button. You will then be able to input each individual’s name and address. Click Save once you have finished. After you have added all the incorporators involved, click Continue to proceed.
Step 9- You must now specify certain provisions regarding your non-profit entity. Select whether or not your corporation will have members, the method of electing trustees and the method of distributing assets. Adding additional provisions may be done by clicking the Add New Provisions button. Click Continue to proceed.
Step 10- A signature will now be required. Click the small box beside Click here for signature for the above name. This step is virtually the equivalent of handwriting your signature. Click Continue to proceed.
Step 11- To view all the details you have submitted so far, click the arrows on the right hand side of the corresponding tab that you would like to view. Press Continue to proceed.
Step 12- On the following page you can add additional documents with your application. To acquire a Certificate of Good Standing or a certified copy, click either box beside each respective option. Just below that you will see entry fields where you must enter your contact information. Before moving forward you will see the fee that you will be required to pay at the bottom of the page. Click Continue to proceed.
Step 13- Choose a method of payment by selecting one of the options from the drop-down menu. Once chosen, click Next to proceed. The individual applying must now submit their name and address. Click Next to continue.
Step 14- Lastly, your credit or e-check information must be submitted. To finish payment for your application and conclude this tutorial, click the Next button.
