Simply navigate to the websites we have linked, submit the information specified within our tutorials, supply a filing fee and you’re done! The filing fees are slightly different depending on which entity type you are applying for. All profit businesses as well as foreign non-profits must pay $125 while domestic non-profit corporations need only pay $75. You may also apply through the mail if your business does not have regular access to the internet, more on this below.

How to File

Step 1- You must first perform a quick Business Entity Search of the Department of State’s database to see if the name your business will operate under is available for use. Those applying online will have the ability to perform this during the first few stages of application. You may also reserve a name by filing the Application for Name Reservation document to keep a desired name for up to 120 days prior to filing.

Step 2- Once an available name has been chosen for your entity, you must then begin the filing process with the Division of Revenue. Select one of the links below corresponding to the entity type of your corporation. You will be taken to a tutorial where each step in the process will be described in great detail.

Step 3- The filing process can be completed online with the steps provided in each tutorial. To apply through the mail you will be required to complete the application supplied by the Division of Revenue. This document must be filled out correctly and forwarded to the address below with the appropriate fee. If applying online, this fee is payable by credit card or e-check. Through the mail, you may pay by check or money order made out to the Treasurer, State of New Jersey.

Foreign corporations must include a certificate of good standing from the state in which the corporation was initially formed.

Tips

EIN When creating a new entity within the US, the Internal Revenue Service requires corporations to obtain an Employer Identification Number. An EIN is a unique nine-digit number, similar to that of a Social Security Number. This number is necessary to conduct business within the country. Once obtained, your business will be eligible to legally hire employees, apply for loans and bank accounts, file tax returns, and perform a number of other financial transactions. We have supplied a tutorial on obtaining an EIN Online as well as with the Form SS-4 that can be filed through the mail.

Corporate Bylaws– Implementing a set of corporate bylaws within your entity can be greatly beneficial during the initial stages of formation. This document, though not legally required, is a suitable way of creating business guidelines that can assist your internal affairs. Members involved in your corporation will have their roles and responsibilities defined in this agreement as well as a number of other provisions. Renewal– All corporations, regardless of the type, must renew their applications with the state to remain in good standing. Renewals must be filed annually, no later than the last day of the calendar month in which your entity was formed in New Jersey. A fee must be included in the amount of $50 for all profit corporations, and $25 for non-profits (payable by credit card). To renew, navigate to this website and follow the instructions provided. You may also change the registered agent information at this time if you would like to (a fee $25 must be included). For those who are unable to renew online, an e-file exemption request can be made a mailed to the address below.
