This tutorial has been designed specifically to ameliorate and clarify the Secretary of State filing process for foreign LLC representatives in New Hampshire. This state has provided an efficient online portal through which filers will be able to simply register their business without the hassle of submitting a filing through the mail. Step 2- The menu on the left will have an option to Create a Business Online. Click on this to proceed to the next step.

Step 3- This page allows you to indicate that you are registering a non-New Hampshire LLC and will have you specifying your business type and your LLC type.

Step 4- The first article will ask for your business name while the second will have you submitting the name to be used in New Hampshire. Continue by specifying your domestic state (state of original formation).

Step 5- Enter the date of formation in your domestic state as well as the nature/purpose of business by selecting the NAICS code and sub code.

Step 6- This secondary page will ask that you submit your business email followed by your registered agent. To select your registered agent, submit the name into the provided field then select the individual/entity from the list that drops down.

Step 7- Select the duration and submit any certificate deemed necessary by the Secretary of State here.

Step 8- Finally, you may provide the principle office address and mailing address. In the window below, you will be able to check off the box indicating that you are aware of the consequences of filing false information before you indicate whether you are a manager or a member. Submit the effective date and supply your title and signature before proceeding.

Step 9- Review the contents of the forms you just filled out to ensure that all information has been submitted correctly. If this is so, you may click Proceed to Pay.

Step 10- On this final page, you will review the filing fee price and select your payment method before submitting either your account information or your credit card credentials.

How to File a Professional LLC (Online)

Step 1- First off, you’ll need to log into your NH QuickStart account in order to access the online portal. In the case that you don’t currently have an account, you may create one using their simple registration process. Navigate to this webpage when you’re ready.

Step 2- On the left, under the Online Services heading, you will be able to select the Create a New Business option.

Step 3- Begin by indicating the type of entity and LLC you plan on forming. In our case it’s a foreign, professional LLC.

Step 4- The first article will ask that you submit your business name from your domestic state and the second will have you submitting the name you plan on using for the duration of your term in New Hampshire. In the third window, you will be able to indicate the type of profession you plan on forming and upload the appropriate documentation.

Step 5- Type in the domestic state, the date of formation and the principle purpose (shown by submitting the NAICS code and sub code).

Step 6- On this page you will need to enter you business email address, select your registered agent and indicate the duration of your term.

Step 7- Upload any certificates deemed necessary by the Secretary of State then provide your principle office address and the mailing address.

Step 8- Check the box indicating that the undersigned is knowledgeable of the consequences of filing a false document. Next, select whether you are a member or a manager, indicate the effective date and sign the bottom by typing your name and providing the title of your position within the company.

Step 9- The next page will give you to opportunity to edit any information that you’ve entered into the articles. Once you’ve ascertained that all data was submitted accurately, you can proceed to the payment of the filing fee.

Step 10- Finally, you will be able to pay the filing fee by selecting your payment method and entering your payment information on the subsequent page. You may also choose to use your ACH account if you possess one.

How to File a LLC (PDF)

Step 1- If you’ve opted to register through the PDF filing method, you will first need to download the Application for Registration as a Foreign Limited Liability Company.

Step 2- Once you’ve got the application open in your PDF viewer, you will need to submit the following information into its fields:

  • 1- Name of LLC
  • 2- Name it proposes to use in New Hampshire as well as the principle business information (full address, contact info)
  • 3- Jurisdiction of initial organization
  • 4- Date of formation
  • 5- The nature of business to be conducted in New Hampshire (involve the NAICS codes if you can)
