This webpage has been created to guide business representatives through the registration process for domestic LLCs in New Hampshire. Below we’ve compiled the step by step procedure involved in both online filing with the QuickStart portal as well as that required of those completing PDFs and submitting their filing through the mail. For both professional and standard LLCs, the filing fees will remain at $100. Scroll down to educate yourself on every step required of domestic filers in this state.

Before we begin, it is always a good idea to perform a Business Entity Search prior to filing to ensure that the business name you plan on using has not already been registered by another entity in New Hampshire. If you’d like additional time in which to file, and you’re concerned that your chosen name is common enough that another business may potentially use it, a Name Reservation filing will reserve a business name for period of 120 days prior to registration.

Tips

EIN– Newly formed LLCs may be required to apply for an Employer Identification Number following the acceptance of their registration documents. This number will be used by the IRS to identify your business as a legitimate tax-paying entity. Once an EIN has been obtained, you will be able to open bank accounts, hire employees, apply for lines of credit and the like. You will find that you can acquire this number through both the Online and PDF (Form SS-4) filing processes. Click on the link at the heading of this paragraph for more information.

Operating Agreement–  We here at Start a Business always recommend that the operators of new businesses, and those in charge of filing the initial formation documents, take a second to draft a binding agreement to use among the managing members of the entity. This agreement will effectively delineate all rules and regulations in black and white to avoid confusion in the case of a future legal dispute and to generally organize the rights and duties of each initial member. For your convenience, we’ve added a free template in both MS Word and Adobe PDF, found linked in the heading of this paragraph.

Renewal– All LLCs are required to file an annual report to renew with the Secretary of State. In order to complete this process, you will need to have an online account with NH QuickStart. A registration tutorial has been created for your convenience which will walk you through the account set up process. Once logged in, you will be able to enter you business ID to locate your entity then fill out the forms that they demand before paying your filing fee. This action will allow you to stay in good standing with the state and will allow them to keep a tab on all managerial changes and the like.
