This tutorial has been designed to assist foreign corporate representatives through the filing process set up by the New Hampshire Secretary of State. An online filing system is available in which filers can easily upload their documents to the Secretary of State without having to deal with the nuisance of submitting through the mail. Unfortunately, this function has only been made available for those creating business and professional corporations as all non-profit entities will still have to do things the old fashioned way. Across the board, all corporations will need to pay $100 with exception to non-profits which will enjoy the low $25 charge.

Before we begin the filing process, you may want to cross check the Secretary of State name database to ensure that your current corporate name isn’t already being used by another business in New Hampshire. This process can be done through the use of the Business Entity Search function. Foreign business representatives may also want to file a Name Reservation application which, for the price of $15, will ensure that no one is able to use your entity name for a period of 120 days prior to filing.

How to File (Online)

Step 1- In order to effectively use the NH QuickStart portal to register your profit or professional corporation, you will first need to create an account. This process has been detailed in our online tutorial here. If you have finished creating your account, navigate to this webpage and enter in your new login credentials to get access to your homepage.

Step 2- On the left hand side of your screen, under the Online Services heading, you will be able to select the Create a Business Online option.

Step 3- Next, choose the second of the two options to register your foreign business then choose from the drop-down menus, the corporation option and either the profit or professional selection.

Step 4- The first five articles are very straight forward. In addition to the below information, professional corporations will need to upload their professional licences (if applicable) and check the box indicating that all operators of the professional service are lawful and licensed.

You will need to submit the following information onto this page regardless of your corporation type:

  • Name in domestic state
  • Name to be used in New Hampshire
  • Domestic state
  • Date of incorporation
  • Duration of corporation

Step 5- On this next page, you will need to first enter the business email address followed by the principle office street and mailing addresses.

Step 6- Provide the registered agent by using the search bar and drop-down results. You can also create the agent if the individual/business will be representing your corporation as its first. After this, you will be required to submit your business purpose through the submission of your NAICS code and sub code.

Step 7- Enter all operating directors and officers within the corporation by providing their names and addresses and then saving the selection. You can upload any certificate or license required by the Secretary of State below this.

Step 8- The final step on this page will have you checking the box indicating that each signatory believes the information submitted is true and accurate. You will then indicate the effective date, sign the document and submit the title of your position.

Step 9- On this page, you will be able to review your info and edit it, if necessary, before continuing by clicking Proceed to Pay.

Step 10- Finally, you may pay the filing fee by selecting your payment method on the first page and submitting your credit card credentials into the second (should you choose this method). You may also pay by your ACH account if applicable.

Renewal– The renewal process in the state of New Hampshire is very straight forward and standard. You will be able to renew your business by submitting an annual report online, a reminder for which will be sent a either by email or mail to your principle office. The info required on this report will not surmount to anything more than what you’ve already submitted through your initial registration documents.
