For those interested in forming a new, North Carolinian limited liability company or professional limited liability company, this online tutorial has been catered to your specific needs. Within this webpage, you will be able to gain insight into the information required in submitting your Articles of Organization and educate yourself on the delivery methods set up by the Secretary of State. For those who are interested, we’ve supplied a brief guide through the process of uploading your PDFs onto the government website using your E-Account (more on this below). Regardless of the manner in which you file your registration forms, you will need to accompany the paperwork with a filing fee of $125 made payable to the Secretary of State.

Before we begin, its usually a good idea to verify whether your chosen business name has already been registered by another active entity. To do so, you should exercise the Business Entity Search function on the Secretary of State website. Furthermore, should you need additional time in which to file, you will be able to perform a Name Reservation and relieve yourself of the added worry of your name being taken in the time it takes you to register with the state.

Tips

EIN– Many new businesses, upon acceptance of their articles of organization, might be required to apply immediately for an Employer Identification Number. This is a number issued by the Internal Revenue Service to identify tax-withholding businesses as legitimate thus allowing them to legally hire employees. As this is often considered the corporate equivalent of a Social Security Number, it can be used to open bank accounts, apply for loans and otherwise commit to all levels of financial transactions. To learn more about the application process, click on the link found in the heading of this paragraph. Otherwise, simply start the application off Online or through the mail by completing the PDF Form SS-4.

Operating Agreement–  Your business’s operating agreement, should you decide to draft one, will enable you to successfully delineate the various rules and regulations under which the members of your company will be required to operate. This is not a legally required document in the state of North Carolina, and for this reason, you needn’t file it with the Secretary of State. Instead, you should have all applicable members of your business sign in agreement to its terms and distribute a copy to each party involved for their own personal filing. Review our free template linked in the heading of this paragraph to see if it is right for you and your business (available in MS Word and Adobe PDF).

Renewal–  The process of renewal, for domestic LLCs, can be done through the submission of a standard annual report. The most effective way of filing such a report is through the Secretary of State online portal while using the business entity search function. In order to remain in good standing, every LLC in this state will need to not only submit this document before the 15th of April, they must also supply a $200 filing fee annually. You may also print off the PDF of the annual report and send it to the below address at the office of the Secretary of State if you’d prefer not to use the online filing system.
