Within this tutorial we will dissect the registering process for your foreign corporation in North Carolina. There are very few online functions available to filers in this state. You may however, once you’ve completed the filing forms, submit them by uploading them onto the Secretary of State website and in turn pay the filing fee by credit card. If you’d rather mail the forms into the state offices, you may do so by attaching to them a certificate of good standing from your jurisdiction of initial incorporation as well as a check for $250 if filing as a profit entity or $125 if filing as a non-profit.

Prior to filing, it is always a good idea to perform a Business Entity Search to research the availability of your company name. In the case that your name has been taken by another business entity, you will be required to operate with the use of a fictitious name for the duration of your term in this state. You may also perform a Name Reservation filing if you’d like to prevent other businesses from filing using your company name. This filing will cost you $30 and will reserve a name for 120 days.

Tips

Renewal– All profit corporations are required to file their annual reports each year by submitting the document online and paying the $20 filing fee. This process will allow the business to remain in good standing with the Secretary of State and will enable the state officials to keep a tab on all major managerial changes which may have occurred over the previous 12 months. The due date is slightly confusing for corporations in this state as you will be required to pay by the 15th day of the 4th month following the anniversary of your acceptance by the Secretary of State. To file online, you will need to have an account set up with the government website. A tutorial for this process can be found here. If you’d prefer to send your reports through the mail, you will be required to send them to the below address.
