How to File a Professional Corporation

Step 1- Professional corporations will need to download the Articles of Incorporation that are specific to their entity type. Once opened in your PDF viewer, you can proceed to Step 2.

Step 2- In these articles, you will be required to provide the following information:

  • 1-Name of corporation
  • 2- Number of shares authorized to issue and whether or not those shares will be all of one class or divided into classes or series
  • 3-Street address of initial registered office
  • 4-Mailing address of initial registered office (if different)
  • 5-Name of registered agent
  • 7-Specific corporate purpose
  • 8-Name and address of each incorporator
  • 9-Name of at least one licensed incorporator
  • 11-Effective date
  • Current date
  • Name, title, signature of applicant

Step 3- Once you’ve completed and printed off the articles, you must attach to it a filing fee of $125 in the form of a check. Also, all professional entities are required to provide certification from the licensing board associated with their profession in order for the filing to be accepted by the Secretary of State. How to File a Non-Profit Corporation

Step 1- You can download the Articles of Incorporation for a non-profit corporation here on our website. Have it open in your PDF viewer to submit the information, or, if you prefer, you may print it off now and supply the requisite data by hand in black ink.

Step 2- The following information will be required in the form:

How to File a Profit Corporation

Step 1- To form a standard, for-profit, business corporation, you will be required to download the Articles of Incorporation from our site and open it up in your PDF viewer.

How to Submit your PDF Online

Step 1- In order to submit your PDF application online, you will first need to create an online account with the Secretary of State website. This can be easily achieved with the help of our tutorial located here. Once completed, enter your username and password into the provided fields on this webpage.

Step 2- In the left hand column, under the heading PDF FILING, you should be able to locate the Upload a Creation Filing link. Click on it to continue.

Step 3- You will then need to provide the below information before uploading your document and clicking the Upload link. Note, you must attach the certificate of good standing in the same PDF as the registration documents to submit as a foreign entity.

  • Entity name
  • Has entity been created in another state or country (yes/no)
  • Entity type
  • Document type
  • Customer reference number (optional)
  • Expedite (yes/no)

Step 4- Finally, you will be able to pay for your filing by clicking on the Submit bubble in the far left hand column of the below window and entering in the method of payment as well as the return email address. Click on Pay & Submit when ready to complete the filing.

Tips

EIN– All new corporations, in every state in America, will be required to apply for an Employer Identification Number. This will allow the IRS to identify you as a legitimate, tax-paying entity which will in turn allow you to perform all levels of financial transactions while using the company name. In order to properly apply, you will need to either access the IRS Online , or, by downloading the Form SS-4, and submitting it through the mail to their offices. More information on both procedures can be found in the tutorial linked in the heading of this paragraph.

Corporate Bylaws–  It is always advisable to draft what is called the corporate bylaws at some point during the registration process. This type of agreement will allow you to delineate the nature of the relationship between the members of your corporation and the corporation itself. It can also greatly improve the over all organization of the business as well as place in black in white, the various rules and regulations under which the company officials will be required to operate. Renewal– In North Carolina, it is required that all businesses file an annual report each year with the Secretary of State in order to remain in good standing. This can be done online, using your pre-existing account with the government website (account registration instructions found here), or by mailing the completed report into the offices of the Secretary of State (address posted below this paragraph). Doing so will simply update the authorities of any major changes in business structure which may have occurred over the previous 12 months. Note that non-profit and professional corporations are not required to file an annual report.
