Partnerships are neither complicated nor expensive to form in Montana. To file you must complete a Certificate or an Application for Registration depending on your desired partnership type. Once complete, you simply file the document through the mail with the Secretary of State. If you are in a rush to file, the state offers expedited services for partnership filings at $20 for a 24 hour filing period for and $100 for a 1 hour filing period. Before filing, please check the business database to see if your desired operating name is indeed available. Likewise, you may want to reserve your desired operating name for 120 days ($10 with expedited filing options) via the name reservation filing.

How to File a Domestic LP

Step 1- To file for a domestic LP you must download the Certificate of Domestic Limited Partnership.

Step 2- Once downloaded, submit into the PDF the following data regarding your partnership:

  • Expedited filing preference
  • LLLP Status
  • Name of LP
  • Commercial registered agent
  • OR Non-commercial registered agent and address
  • Names and addresses of each general partner
  • Signatures and addresses of each general partner
  • Phone and email of filer

How to File a Foreign LP

Step 1- To file for a foreign LP you must download the Application for Registration of Foreign Limited Partnership.

Step 2- To complete the application, please input the following data into the form:

  • Expedited filing preference
  • LLLP Status
  • Name of LP
  • Original jurisdiction
  • Principle office address
  • Commercial registered agent
  • OR Non-commercial registered agent and address
  • Names and addresses of each general partner
  • Signatures and addresses of each general partner

Step 3- Once the PDF has been completed and signed, the filing fee will need to be attached. Have a $20 check made out to the Secretary of State and send it, along with the application, to the address below.

How to File a Domestic or Foreign LLP

Step 1- Filers looking to form a domestic or foreign LLP will find that the same form is used for both filings; the Application for Registration of Domestic or Foreign Limited Liability Partnership. Download this form before proceeding.

Step 2- With the application downloaded, the following information must be supplied:

  • Expedited filing preference
  • Name of LLP
  • Principle office address
  • Original jurisdiction
  • Description of business
  • Names and addresses of all partners
  • Signatures and addresses of two (2) partners

Tips

EIN– New domestic partnerships will need to apply Online or through the mail (Form SS-4) for an EIN, or Employer Identification Number, from the IRS. This number is required by the government for any and all financial maneuvers, including paying employees and applying for business credit cards.
