To file for a new corporation in Montana you will need to A) complete the requisite filing form and B) submit this form, along with a check covering all applicable fees, to the Secretary of State by mail. The state offers expedited 24 hour and 1 hour filing services for an additional $20 and  $100 respectively. Before attempting a filing, ensure that your desired operating name is indeed available by checking the business database. You can also file a name reservation form to reserve your desired operating name for 120 days ($10 with expedited filing options).

How to File a Profit Corporation

Step 1- To begin, download the ready-made Articles of Incorporation PDF supplied by the Secretary of State.

Step 2- Once downloaded, submit the following data to the form:

  • Expedited filing preference
  • Corporation type
  • Corporation name
  • Public benefits provided (if applicable)
  • Commercial registered agent
  • OR Non-commercial registered agent and address
  • Mailing address in Montana (if different)
  • Number of shares to be issued
  • Name and address of all incorporators
  • Signature and title of incorporator as well as the date signed
  • Phone number
  • Email address

How to File a Non-Profit Corporation

Step 1- Similar to profit corporation filings, those filing for non-profit corporations will need to download the Articles of Incorporation PDF.

Step 2- Continue by entering the following information into the PDF:

  • Expedited filing preference (if any)
  • Name of corporation
  • Commercial registered agent
  • OR Non-commercial registered agent and address
  • Name and address of each incorporator
  • Corporation type
  • Application method
  • Signature and title of each incorporator/director as well as the date signed
  • Phone number
  • Email address

Tips

EIN– All corporations must obtain an EIN, or Employer Identification Number, from the IRS in order to operate. Any financial actions, including paying employees and applying for credit cards, requires this particular identifier. Corporate Bylaws– Corporations must draft a corporate bylaw document in the state of Montana as it is required by law. A bylaw is an internal document that lays out the rules and regulations of your corporation. We recommend that you allow your attorney to review the contents of said agreement before incorporating it into your business structure.

Renewal– Corporations must renew in order to remain in good standing with the Secretary of State. To renew, file online at this site by completing a short series of forms built into the portal. If you would like to generate a pre-filled renewal form you may do so at this site. As far as payments go, the standard fee is $20, but beware: if your filing is submitted after 5 PM (MST) on April 15th the fee will rise to $35. Payments can be made by debit or credit card.
