This webpage contains all tutorials necessary to get your foreign or domestic partnership up and running in the state of Mississippi. The Secretary of State website has offered a quick and effective portal which has been streamlined to make for the simplest of registration processes. As they have offered no PDF forms of the registration documents on their page, it is required of you to go through the majority of the online registration process if you plan on submitting your application through the mail. This online registration process requires that all filers have an account set up with the Secretary of State website. A tutorial on how to register can be found here. The filing fees vary greatly between partnerships therefore we’ve supplied a list of all available partnerships and the cost of registration below.

It would be wise to perform a name availability search prior to filing to registration documents to cross check the Secretary of State database. This preliminary check can be accomplished through the Business Entity Search function on the government website. Furthermore, you may wish to perform a Name Reservation to secure the rights to your name for a period of 6 months prior to filing.

How to Form a Domestic LP/LLP/LLLP

Step 1-Begin by logging into your account on this webpage. In the case that you’ve yet to create such an account, you can click on register and follow the necessary steps. If you experience any trouble, feel free to review our tutorial on the registration process.

Step 2- The online portal, once logged in, should look something like what’s displayed below. You should be able to see a window under the heading Name Reservation and Formation Filings. Click on the first option there to form a domestic business.

Step 3- The next page will have a window that looks identical to the one directly below. Choose your partnership type from the drop down menu. This will display all the forms in which you will supply the Secretary of State with the requisite information. There are slight variations in requirements between partnerships but they’re minimal. In all cases you will begin by providing the business name and email.

Step 4- If there is to be a future effect date, indicate so here. Otherwise leave it blank. If you’re aware of the NAICS code which defines the nature, provide 1-3 in the fields provided. To research the NAICS code which applies to your partnership, you can click on the link Search for NAICS Codes.

Step 5- Provide the principle office at which the company records will be kept.

Step 6- The information pertaining to your registered agent will be required here, including the type, full name, address and email address.

Step 7- The signatures required differ between partnership types. While limited partnerships need only provide the consent of one general partner, LLPs and LLLPs will need to have at least two partners sign the form. The third window below shows the information required of the signatory.

Step 8- The following two pages you will encounter, once you’ve clicked Update, will indicate that there are no errors in the submission and will give you the opportunity to attach any documents (e.g. partnership agreement).

Step 9- You will then be presented with the option to submit the forms electronically and pay online, print the document and mail it in with an attached check, email the forms to a third party to review, or exit the filing process to file later. The Steps 10a through 10c will walk you through the online submission and payment of the filing fees while Steps 11a and 11b will show you how to submit the document through the mail. If you chose the former, a window will appear letting you know that you will be redirected to the Mississippi Payment Gateway.

Step 10a- Review the filing fee and select your payment type. The price will be listed as $50 for LPs/LLLPs and $250 for LLPs. For the purposes of this tutorial, we’ve chosen to pay by credit card.

Step 10b- You will then have to enter your customer information including your name, address and contact information.

Step 10c- Finally you will be able to submit your credit card information and complete the filing of your partnership.

Step 11a- If you’ve opted to mail in the submission with an attached check, you will be presented with the below window. Click on the link provided to view the printable document.

Step 11b- You will the be presented with the document containing all the previously submitted information. Mail this form along with a check covering the $50 (LP/LLLP) or $250 (LLP) filing fee and send it to the below address to complete your filing.

How to Form a Domestic GP

It should be noted that it is not required by law to file with the Secretary of State if you plan on forming a general partnership. Normally a partnership agreement is sufficient in delineating the relationship between partners. However there is an option to file online with the Secretary of State website so we’ve included it in our tutorial below.

Step 1- Begin by logging into your account on this webpage.  Feel free to review our tutorial on the registration process if you don’t already have an account.

Step 2- Once logged into your account, you should see a window identical to the one below. Select the first option of the five to form your general partnership.

Step 3- The page you will arrive on will contain only the window displayed directly below. Once you’ve selected the general partnership option from the Business Type drop down menu, you will be presented with the fields in which you can enter your information. The first information required is the business name and the business email.

Step 4- Next provide the NAICS code that describes your business. You can submit up to three codes in the provided fields. If you are unaware of the code that corresponds to the nature of your business, you can click on the Search for NAICS Codes link. You will also need to provide the principle office and chief executive office addresses.

Step 5- General partnerships can either provide the registered agent information or a list of all partners associated with the partnership. When adding a partner, they will simply as for the name and address of that individual.

Step 6- Provide a list of all partners who are authorized to execute documents transferring real property for the partnership. Click on the Add Authorized Partner link to do so. Following this you can supply the signatures of at least two partners consenting to the information submitted in these forms.

Step 7- When adding a signature, you will need to provide the title of each partner as well as their full name and full address. Click Update when finished.

Step 10b- The information you will need to provide next is simply your country of residence, your full name, full address, phone number and email address. Click Next when completed.

How to Register a Foreign LP/LLP/LLLP

Note that it is required of all foreign businesses that they supply a certificate of good standing (or similar document) along with their application, one which has been issued within 6 months of their filing with the Mississippi Secretary of State.

Step 2- Once logged in, select the second option in the window displayed below to apply as a foreign entity.

Step 3- Begin by selecting your partnership type from the drop down menu next to the Business Type heading. Regardless of the variety, you will need to provide your business name and business email.

Step 4- Next provide the future effective date (if applicable), the initial state of original formation, the date formed and the nature of the business (indicated by NAICS code). If you are unaware of the code that pertains to the nature of your business, select the Search for NAICS Codes option.

Step 5- The principle office address as well as the address at which the records of the business are kept will need to be provided at this juncture.

Step 7- Provide the signatures of all required partners. For LPs, this will mean at least one general partners. For LLPs as well as LLLPs, you will need to provide at least two partners’ signatures. The third window below shows the information needed to supply a signature online.

The other two options at this point are to email the forms to a third party or to exit and save the document to file later. EIN – New, domestic partnerships will need to acquire an Employer Identification Number immediately after filing with the Secretary of State. This number allows for the IRS to recognize you as a legitimate , tax paying entity in the eyes of the federal government. Furthermore, it will be impossible to legally hire employees or successfully perform financial transactions using the business’s name without an identifier of this variety. To obtain an EIN you may apply Online or through the mail by completing the PDF Form SS-4.

Partnership Agreement– Although not required by law, it is well advised to draft a partnership agreement regardless of the nature of your business to delineate the roles of all members involved. This document will also allow you to clarify any rule, regulation or general provision not already relayed in the initial registration documents submitted to the Secretary of State.
