Before reviewing the filing procedure for your partnership type, we ask that you consider performing a Business Entity Search on the Secretary of State website to ensure that the name you plan on using for your entity is available in Missouri. A Name Reservation will allow you to reserve your designation for a period of 60 days (2x renewable) prior to filing. How to File a Domestic LP/LLP (Online)

Step 1- The first thing that you’ll need to do is log into your online account by entering your User ID and Password onto this website. If you have yet to create your own online account, you will find that the process is straight forward. Any confusion can be remedied by reviewing our tutorial.

Step 2- Once logged in your home screen should be presented to you. Click on the Create a Business Entity to found under the Other Business Entities heading.

Step 3- The first page will have you designating the entity type and location (foreign or domestic). Select either LP or LLP from the first drop down menu, then domestic from the second before clicking BEGIN.

Step 4- If you have a Name Reservation Number enter it here. Otherwise, simply submit your partnership name with the appropriate suffix (LP or LLP) into the designated field and continue onto the registered agent designation.

Step 5- There are two ways of choosing your registered agent. You can submit their name into the provided fields and click SEARCH REG.AGENT to generate a list (shown in window 2 below). From the list you can select the registered agent. Alternatively, you can indicate that you do not wish to search and simply supply their full name and address in to the fields that present themselves (figure 3 below).

Step 6- At this juncture, you will be required to submit the full name, type and address for each general partner involved in the management of the entity. Once all the applicable partners have been saved, you may continue to the following step.

mo-dlp-5Step 7- The general information required by LPs and LLPs is nearly identical. This is the only juncture at which the two differ slightly. LP applicants will be required to specify the duration and will have the option of submitting further provisions and a future effective date. Those forming LLPs should provide all the above as well as the nature of the business to be conducted.

Step 8- The next page will have you reviewing the information that you’ve submitted. At this point, if necessary, you can Update any data entered. Otherwise, continue on to the submission of the signatures.

Step 9- Adding signatures is simple. Click on the link provided then enter the nature of the applicant (Individual or Organization) before providing their full name and title. Click SAVE and when all the required signatures are submitted, check the box that indicates that you recognize that the facts entered into the forms were true and accurate. You can now move onto the payment of the filing fees.

Step 10- The shopping cart should look something like the one displayed below. Make sure that the amount and the type of filing are correct before clicking PAYMENT.

Step 11- The next page will display a payment method selector. Choose between credit card and e-check. As soon as you’ve made your selection, one of the two below windows will present itself.

For credit card payment, you will be asked to provide the following:

Step 12- To submit the payment and send your application in for processing you must first accept the terms and conditions. When you’ve reviewed them properly, you can click NEXT SUBMIT PAYMENT to do so. This online submission of the filing fee marks the completion of your business registration.

How to File a Foreign LP (Online)

Step 1- The first thing that you’ll need to do is log into your online account by entering your User ID and Password into this website. Step 3- This page will have you selecting the type of filing you’re committing to as well as whether it is to be domestic of foreign. Once you’ve provided this data, you can select BEGIN to continue.

Step 10- Here you will need to enter the address of the office at which a list of the names and addresses is kept along with and capital contributions of the limited partners is kept.

Step 11- Provide a certificate of good standing or similar document from your state of initial formation which has been filed within 60 days of this registration.

Step 12- You can now review all submitted data and if necessary edit each section where applicable. Once you confirmed that all the data supplied is accurate and complete, you may continue on to the signature portion of this filing.

How to File a Foreign LLP (Online)

Step 1- To begin the application for authority as a limited liability partnership, you will need to first log into your online account with the Missouri Secretary of State. This task can be accomplished by navigating to this website and entering your User ID and Password. For more information on account set up, review our online tutorial.

Step 2- Your home screen should look like the example shown below. Select the Create a Business Entity link to proceed to the next step.

Step 3- Choose the type of filing you’re committing to in the first drop down menu and then indicate that you are registering a foreign entity below this. After that, click BEGIN to continue.

Step 4- The first step is to enter the name of your partnership which is used in your jurisdiction of initial formation.

Step 5- Here, you will be able to supply the name reservation number if applicable and the name you plan on using to represent your LLP for the duration of your term in Missouri. Click NEXT GENERAL INFO to continue.

Step 10- A summary of all submitted data will present itself resembling the one display below. Take a minute to ensure that all information is accurate before checking the box that indicates that it is so. Proceed onto the signature submission section of the forms when you are ready.

Step 11- Click the provided link to add each partner’s signature. A electronic signature can be submitted by entering the individual’s full name and title into the fields and clicking SAVE. When all have been added, check the box that, again, shows that you believe all the information submitted to be true and correct before continuing on to the payment of the filing fees.

Step 12- The payment summary will be different depending on the number of partners added however it should resemble something similar to the one below. Click PAYMENT to submit your credit card or e-check information.

How to File a Domestic LP (PDF)

Step 2-  The information required of domestic LP applicants is as follows:

  • 1-Name of LP
  • 2-Address of registered agent
  • 3-Name and mailing address of each general partner
  • 4-Reasons for which partnership is to dissolve or the number of years the partnership is to continue (may be perpetual)
  • 5-Any other provisions
  • 6-Effective date (if applicable)
  • Name and address at which document can be returned

Tips

EIN – Newly formed partnerships, upon receiving confirmation and approval from the Secretary of State, should immediately apply for an Employer Identification Number from the IRS. This number will allow them to recognize you as a legitimate and legal tax paying entity in the eyes of the federal government. Without one of these crucial identifiers, you will be unable to open bank accounts, hire employees or otherwise commit to any level of financial transaction. To obtain an EIN you may apply Online or through the mail by completing the PDF Form SS-4.

Partnership Agreement– A partnership agreement, when administered correctly, allows for the delineation of the relationship between the partners and the partnership itself. Fortunately, here at Start a Business, we’ve provided a template of such a document available in both MS Word and PDF format. You can find this agreement linked in the heading of this paragraph. We suggest having your attorney review its contents and suggest that you discuss whether or not its implementation into your business structure is necessary.

Renewal- It is not required of partnerships that they file an annual report to update the Secretary of State. However, the filing of a LLP or LLLP is only valid for one year, and you will be required, if applicable, to submit the same document as you did for the initial formation, on the anniversary of this date. The same filing fees will apply across the board.
